Job Position: Company Secretary

Job Purpose: The role is responsible to ensure that a company operates within the legal and regulatory framework. The role is multifaceted, involving compliance, governance, advisory, and administrative responsibilities

Job Description:

1. Compliance and Regulatory Duties

- Corporate Governance: Ensure the company adheres to the principles of good corporate governance and practices.
- Regulatory Compliance: Ensure compliance with various statutory and regulatory requirements as per the Companies Act, BSE guidelines, SEBI regulations, and other applicable laws.
- Filing and Reporting: Timely filing of annual returns, financial statements, and other statutory documents with the Registrar of Companies (ROC) and other regulatory bodies.
- Secretarial Audits: Coordinate secretarial audits with the Practising Company Secretary and ensure compliance with secretarial standards.
- Corporate Restructuring: Ensure if required to complete corporate restructuring i.e. merger, demerger, buy-back of shares, acquisition, slump sale, etc.

2. Risk Assessment Role

- Risk Management: Identify and mitigate legal and compliance risks associated with business operations.

3. Board and Committee Support

- Board Meetings: Support in organizing and preparing notices and agendas for board meetings and annual general meetings (AGMs), ensuring they are conducted in accordance with legal and statutory requirements.
- Minutes and Records: Maintain accurate records of minutes and resolutions passed in all the meetings of the Company.
- Communication: Act as a point of communication between the board and shareholders.

4. Liaison and Communication

- Stakeholder Communication: Maintain effective communication with shareholders, regulatory authorities, and other stakeholders.
- Public Relations: Handle public relations and ensure effective communication with various stakeholders, including government and regulatory bodies.

5. Documentation and Records Management

- Record Keeping: Maintain statutory books and registers as required under Companies Act, 2013 and minutes as per the Secretarial standards.
- Document Preparation: Prepare and manage legal documents such as notices, agenda, resolutions, and agreements whenever required.

6. Strategic and Executive Role

- Corporate Strategy: Contribute to the strategic planning and execution of company policies and procedures.
- Ethical Standards: Promote ethical standards and corporate social responsibility within the organization.

7. Training and Development

- Education: Provide guidance and training to the board members and KMP's on corporate governance and compliance issues.
- Professional Development: Stay updated with the latest developments in corporate laws and governance practices that are the applicable to the Company or any other act that becomes applicable to the Company.

Qualifications and Skills

Qualifications:

- Must be a qualified Company Secretary and a member of the Institute of Company Secretaries of India (ICSI).
- A degree in law, business administration, or finance is preferred.

Skills:

- Excellent knowledge of latest Corporate laws and governance.
- Worked with a debt/equity listed Company before.
- Excellent organizational and communication skills.
- Strong analytical and problem-solving abilities.
- Attention to detail and ability to handle sensitive information discreetly.
- Proficiency in the use of relevant software and IT tools.

Experience:

- Typically, a minimum of 2-3 years of experience in a similar role, preferably in a listed company or large organization preferably in real estate industry.

Reporting Structure:

- This role will report to Head – Company Secretary & Compliance Officer and other Senior Leaders in Finance.
