Job Description :
We are looking for aqualified and experienced Company Secretaryto join our leadingPCS firm. The ideal candidate should have2 - 5 years of post-membership experiencein handling corporate secretarial compliance, regulatory advisory, and governance matters for a diverse clientele, including listed and unlisted companies.
Key Responsibilities:
- Corporate Compliance & Secretarial Work:

- Manage and ensure compliance with theCompanies Act, 2013, SEBI regulations, FEMA, and other corporate laws.

- Conductboard meetings, committee meetings, and general meetings, including drafting notices, agendas, minutes, and resolutions.

- Maintain and update statutory registers and records.

- Regulatory Filings & LODR Compliance:
-
- Handle filings withROC, SEBI, RBI, Stock Exchanges, and MCA.
-
- Ensure compliance withSEBI (LODR) Regulations, Insider Trading Regulations, and Takeover Code.

- Draft and review corporate governance reports, annual reports, and directors reports.

- Secretarial Audit & Due Diligence:

- ConductSecretarial Audits (as per SEBI and Companies Act requirements)for listed and large private/public companies.

- Performdue diligence for mergers, acquisitions, and corporate restructuring transactions.

- Prepare compliance checklists and audit reports.

- Advisory & Client Management:

- Provide expertadvisory on corporate laws, governance, and compliance frameworksto clients.

- Liaise withregulatory authorities, auditors, and legal teams.

- Assist clients in handling queries and compliance issues raised by regulators.

- XBRL & FEMA Compliances:

- OverseeXBRL filings for financial statementsof clients.
-
- ManageFEMA compliance, FDI reporting, and ECB filings.

Requirements:
- Qualified Company Secretary (ACS/FCS) with 5-6 years of post-membership experience.

- Strong knowledge ofCompanies Act, SEBI regulations, FEMA, and corporate governance norms.

- Hands-on experience inhandling listed company compliance, LODR, and Secretarial Audits.

- Excellentdrafting, communication, and client-handling skills.

- Ability tomanage multiple clients, meet deadlines, and work independently.

- Proficiency inMS Office, MCA21, XBRL, and other compliance software.
