JOB PURPOSE
The position is responsible for providing legal support to the corporate finance function at GMR Group, specifically handling debt, project finance, and equity transactions. The role involves drafting, negotiating, and ensuring the closure of legal documents related to financing agreements, security creation, and ensuring regulatory compliance. The incumbent will support the legal team in managing the intellectual property portfolio, providing general corporate legal advisory, and handling various legal matters related to concessionaires, joint ventures, and business verticals.
KEY ACCOUNTABILITIES
1. Support Financing Transactions
- Assist the Manager/Head Legal in managing group-wide funding transactions, including debt, project finance, and equity.
- Draft and negotiate financing agreements until financial closure, ensuring compliance with legal requirements.
- Support the creation of security agreements and manage pre-commitment and pre-disbursement compliance.
- Key Performance Indicators: Timeliness of document closure, successful negotiation of terms, compliance with regulations, and transaction completion.
2. Intellectual Property Management
- Manage the Group's Intellectual Property (IP) portfolio, including trademark registrations and renewals.
- Initiate legal actions against IP infringements and ensure compliance with IP law timelines for registration/renewal.
- Key Performance Indicators: Timely IP registrations/renewals, reduction of IP infringements, effective IP portfolio management.
3. Legal and Regulatory Compliance
- Advise on legal and regulatory compliance within sector-specific frameworks.
- Conduct research and provide legal insights on infrastructure finance, security compliance, and sector regulations.
- Ensure adherence to applicable laws and regulations, including the Companies Act, SEBI regulations, FEMA, and RBI Circulars.
- Key Performance Indicators: Compliance with regulatory requirements, resolution of compliance issues, risk mitigation.
4. Corporate Legal Advisory
- Provide legal advice and support on general corporate matters, including vendor agreements, sale and purchase agreements, and leave and license agreements.
- Draft, review, and negotiate Non-Disclosure Agreements (NDAs) for investor and advisory purposes.
- Key Performance Indicators: Timeliness of document preparation, risk mitigation, and effective negotiation.
5. Legal Support for Business Verticals
- Lead legal interactions with business verticals such as Commercial Non-Aero, P&C, and P&E.
- Provide timely legal support for various issues related to concessionaires and joint ventures (e.g., Cargo, Ground Handling, Fuel Farm, BME, F&B, Airlines, and Vendors).
- Advise on sustainable structuring and legal risk mitigation for transactions and issues within these verticals.
- Key Performance Indicators: Successful resolution of legal issues, legal risk mitigation, satisfaction of internal stakeholders.
6. Transaction Documentation
- Draft, review, and negotiate legal documents related to fundraising transactions, mergers, acquisitions, divestments, and demergers.
- Ensure the legal documentation process aligns with the business goals and regulatory requirements.
- Key Performance Indicators: Accuracy of legal documentation, transaction closure success rate, legal risk management.
7. Supporting Legal Team and Corporate Goals
- Assist the legal team in driving financing transactions, ensuring all documents are in place for financial closure.
- Contribute to departmental goals by ensuring expenditure is within the approved Annual Operating Plan (AOP) for the Corporate Legal function.
- Provide legal support to the business team, mitigating legal risks and ensuring legal compliance.
- Key Performance Indicators: Departmental expenditure control, timely legal support, risk mitigation strategies.
EXTERNAL INTERACTIONS
1. Transaction Counsel: Coordinate with external legal advisors for transactional support.
2. Counterparty Banks/Financial Institutions/Investors: Collaborate on financing transactions and document finalization.
3. Vendors and Other External Legal Entities: Engage for legal issues and transactional support.
INTERNAL INTERACTIONS
1. Finance Team: Coordinate with finance for fund-raising transactions, ensuring legal compliance and document closure.
2. Management, Directors, and Associates (MD&A): Work closely with senior management to provide legal guidance on corporate transactions.
3. Various Internal Teams: Collaborate with departments for special projects, resolving legal issues related to joint ventures, vendors, and compliance.
FINANCIAL DIMENSIONS
- Maintain turnaround time to enable the closure of documents/queries within set timelines.
- Contribute to ensuring that expenditure for Corporate Legal remains within the approved Annual Operating Plan (AOP).
- Assist in financing transactions for the GMR Group, aggregating to INR 10,000 crores annually.
OTHER DIMENSIONS
- Assist and support the Manager/Head Legal in driving financing transactions, including legal documentation and compliance for the group.
- Provide legal advisory on day-to-day functions of the company, ensuring risk mitigation and compliance with applicable laws.
EDUCATION QUALIFICATIONS
- Required:
- Bachelor of Law (LLB) from a recognized institution.
RELEVANT EXPERIENCE
- Minimum of 4+ years of post-qualification experience (PQE) in corporate legal functions, either in a reputed law firm or as in-house counsel for a corporate.
- Experience in handling fundraising transactions (debt and equity), mergers, acquisitions, divestments, demergers, etc.
- Strong knowledge of the Companies Act, SEBI regulations, FEMA regulations, and RBI Circulars/notifications.
- Key Skills:
- Excellent legal research, drafting, and negotiation skills.
- Good presentation and communication skills.
- Strong understanding of corporate finance and regulatory frameworks.
