Responsibilities
Handling Corporate Secretarial Matters independently (Board Meetings, AGM, etc.) .
Coordination with Directors in various countries for KYC/other Compliances. Drafting/Vetting/Negotiating a wide range of Legal Agreements, including sales agreements, manufacturing agreements, services agreements, employment agreements, banking agreements, and leases etc.
· Experience/familiarity with Incoterms would be a plus.
· Support HR in Labour Laws/Factories Act-related compliances.
· Closely work with HQ Legal Team for all legal matters on legal, compliance, and risk topics.
· Maintain accurate and up-to-date records of corporate documents, contracts,s and regulatory filings.
· Ensure timely submission of statutory returns and reports to relevant authorities.
· First point of contact with external lawyers.
· Support in claiming Incentives as per T-TAP Policy.
· Experience in dealing with issues related to the following acts/statutes:
. Company Law (Companies Act).
. Labour Laws (Factories Act /Shops & Establishment Act, Industrial Disputes Act, Minimum Wages Act, Payment of Bonus Act, Employees Provident Fund & Miscellaneous Provisions Act.
. Environmental Laws (Water (Prevention and Control of Pollution) Act 1974, Air (Prevention and Control of Pollution) Act, 1981 and Hazardous Waste Management Rules, 2016). Other Miscellaneous Act (DPDP Act, Legal Metrology Act, Consumer Protection Act, Indian Contract Act & other miscellaneous Acts).
Qualification : Qualified Company Secretary, preferably with LLB.
Experience of 10 to 15 years in any listed manufacturing industry. Textile & Apparel Industry experience is an added advantage ( preferably) .
