Role Overview:
The role of an Executive - Company Secretary involves managing corporate governance and compliance, including drafting legal documents and ensuring adherence to the Companies Act 2013 and FEMA. This position requires a qualified professional with 2-4 years of experience.
Key Deliverables (What Will You Do)
- Drafting various resolution, minutes, notice and agenda for Board Meeting and General Meeting, Committee Meetings, communications, and other secretarial documents.
- Drafting Annual Reports, Resolutions, Minutes
- Conducting Board Meetings, General Meetings, Committee Meetings in accordance with the Secretarial Standards.
- Roc Return filing, RBI filing and other related statutory filings. Supporting in Due Diligence activities.
- Handling FEMA compliances relating to foreign direct investments.
- Liaison with bankers, cross functional teams, auditors on regulatory matters.
- Assistance in secretarial audit, statutory audit, Internal audit.
- Managing ESOP scheme of the Company.
- Liaising with Registrar and Transfer Agent and Professionals.
- Maintenance of Statutory Registers.
- Assisting and monitoring Corporate Social Responsibility activities.
- Drafting and review of Agreements licensing agreements, service agreements, leave and license agreements, vendor agreements, procurement agreements etc.
- Ensuring that the company is fully compliant with the Companies Act 2013, FEMA and other applicable laws
Job Specification (What Will You Need)
- MBA from a reputed business school.
- Qualified Company Secretary.
- 2-4 years of experience in legal & secretarial work.
- Ability to manage and coordinate with stakeholders and Board of Directors.
- Ability to research and solve problems.
- Good knowledge of Companies Act 2013.
- Ability to research and advise on secretarial and other laws.
- Proficient in MS Outlook, Word, Excel, and PowerPoint.
- Strong communication, interpersonal and project management skills.
- Self-starter with excellent business discernment, legal acumen, and ability to work both cross-functionally and independently.
