**Job Purpose**:
The Legal Counsel & Compliance Officer will play a crucial role in providing legal guidance and ensuring compliance across the group’s global operations. This includes overseeing legal matters related to commercial contracts, corporate governance, regulatory compliance, and risk management. The individual will be responsible for ensuring the company’s operations adhere to all applicable legal and regulatory frameworks in the USA, Europe, and other jurisdictions where the group operates.

**Key Responsibilities**:

- **Legal Support & Advisory**:

- Provide strategic legal advice on a wide range of matters related to commercial contracts, transactions, intellectual property, and corporate governance.
- Draft, review, and negotiate commercial agreements, such as supply agreements, joint ventures, distribution contracts, and service agreements.
- Collaborate with internal stakeholders to manage the legal aspects of business activities, ensuring compliance with local and international laws.
- Address any litigation, arbitration, or disputes that may arise, liaising with external counsel where necessary.
- **Compliance & Regulatory Management**:

- Develop, implement, and maintain a robust compliance program to ensure adherence to local, national, and international regulations (including but not limited to environmental laws, health & safety standards, and anti-bribery/anti-corruption laws).
- Conduct regular audits and reviews to assess compliance risks and address areas of non-compliance.
- Keep the leadership team informed of significant legal and regulatory developments that may impact the group’s operations.
- Lead the implementation and training of the company’s Code of Conduct and other internal compliance policies.
- **Risk Management & Mitigation**:

- Identify and assess potential legal risks across all business functions and propose mitigation strategies.
- Assist in managing intellectual property portfolios, ensuring adequate protection of trademarks, patents, and trade secrets.
- Work closely with external counsel, as necessary, to manage legal risks in high-stakes commercial matters.
- **Corporate Governance**:

- Support the legal team in corporate governance matters, including maintaining corporate records, drafting resolutions, and overseeing compliance with statutory obligations in different jurisdictions.
- Ensure compliance with global and local corporate governance standards, especially in relation to the group’s facilities in the USA, Europe, and other international locations.
- **Cross-border Operations**:

- Ensure compliance with trade and export laws, sanctions, and international trade agreements.
- Provide legal support on cross-border transactions and foreign direct investments, advising on legal risks and regulatory hurdles in different jurisdictions.

**Qualifications & Experience**:

- Bachelor’s Degree in Law (LLB) from an accredited university; a Master’s in Law (LLM) or similar is a plus.
- Minimum 7 to 10 years of experience in a legal and compliance role, ideally within a multinational corporation or International Law firm.
- In-depth knowledge of international trade laws, corporate governance, contract law, and compliance frameworks.
- Experience in the manufacturing sector or related industries is a plus.

- Ability to work independently and manage multiple tasks in a fast-paced environment.

- Proven problem-solving skills and a proactive approach to mitigating legal risks.
- Cultural awareness and sensitivity to working in a multinational environment.
- Ability to handle confidential information with discretion and professionalism.

**Other Requirements**:

- Ability to travel internationally when required to support the group’s global operations.

**Job Types**: Full-time, Permanent

Pay: ₹2,500,000.00 - ₹3,500,000.00 per year
