Brief on the Job Position

The Company Secretary is one of the key positions in Ayekart. The objective of the position is to ensure compliance with all legal and regulatory requirements pertaining to corporate governance, as well as providing support to the Board of Directors and senior management team.

Scope of Work

The Company Secretary will be responsible for managing secretarial and statutory compliance requirements of the company.

Main Tasks & Responsibilities
- Serve as the primary point of contact for the Board of Directors and senior management team on all matters related to corporate governance.
- Ensure compliance with all legal and regulatory requirements, including but not limited to company law, and corporate governance codes.
- Organize and facilitate Board Meetings, including preparing agendas, collating and distributing meeting materials, and recording minutes.
- Maintain statutory registers and records, including the register of members, directors, and secretaries.
- Assist with the preparation and filing of statutory returns and other regulatory submissions.
- Provide guidance and support to the Board and management team on corporate governance best practices.
- Monitor changes in relevant legislation and regulations and advise the Board and management team on potential impacts.
- Liaise with external legal advisors, auditors, and regulatory authorities as required.
- Assist with the development and implementation of corporate policies and procedures.
- Handle any other duties or projects as assigned by senior management.

Qualifications and Experience
- Bachelor's degree in law, Commerce, business administration, or a related field.
- Qualified Company Secretary (CS)
- Strong understanding of company law, corporate governance principles, and regulatory requirements.
- Excellent organizational and multitasking skills, with the ability to prioritize and manage competing demands.
- High level of attention to detail and accuracy in record-keeping and documentation.
- Strong communication and interpersonal skills, with the ability to effectively interact with stakeholders at all levels.
- Ability to work independently with mínimal supervision and as part of a team.

- Proficiency in dealing with financial matters.
- Understand critical attributes of financial regulations.
- Good acumen of technology and automation.
- Good command on Excel. Tally and other related software.

B. Desirable
- Good interpersonal communication and team building skills in order to keep the team motivated and productive.
- Meet work deadlines without constant detailed supervision.
- Accuracy, precision and attention to detail.

Reporting
- The Company Secretary shall report to the CFO, Ayekart.
- S/He will seek guidance and directions from the CFO.
