Ensuring Company's Compliances of Companies Act 2013; Secretarial Standards; SEBI Listing Regulations (Stock Exchange Compliances), Takeover Code, Insider Trading and other SEBI Rules & Regulation; RBI regulation relating to FEMA, FDI etc.
- Drafting DRHP for IPO and Handling Due Diligence for the same.
- Interacting/Liasoning with SEBI, Stock Exchanges, ROC, Other Financial Institution and Coordinating with Merchant Bankers, Legal Advisors, Syndicate Members for IPO.
- Conducting Investors/Merchant Bankers Meeting for seeking investment by way of IPO/FPO/PE/QIP and handling market making process for enhancing visibility of shares in stock exchanges.
- Handling Merger, Amalgamation & Takeover of listed & unlisted Companies.
- Responsible for Due Diligences process for Acquisition & Takeover of Companies.
- Conducting Board Meeting, Committee Meeting and General Meeting.
- Proficient in drafting Notice, Agenda, Board Note, Minutes, Policies and maintenance of statutory registers.
- Preparation of Annual Report of the Company.
- Responsible for Dividend Payout Process; Compliances Relating to Investor Education & Protection Fund (IEPF) and E-voting & Postal Ballot Process for approval of resolutions.
- Responsible for Listing of Equity Shares at Stock Exchanges, Private Placement & Preferential Issue Securities, Issue of Bonds, Inter-se Transfer of Promoters Shares, Shifting of registered office etc.
- Taking care of Delisting of Equity Shares from Stock Exchanges. Handling Inspection of Registrar of Companies/Regional Director (ROC/RD) and preparation of reply.
- Responsible for Incorporation / Registration of New Company, LLP, NGO.
- Taking care of Conversion of Public Company into Private Company and Private Company into LLP.
- Work related to Intellectual Property Rights (IPRs) and Website Management.
- Ensuring Compliances of Joint Venture Companies with Government & Overseas Investors, Group Investment Companies, NBFC- Finance Companies.
- Monitoring and ensuring compliances various Acts. Laisoning with the various Stakeholders
- Actively involved in the core decision making team of the management.
- Should be conversant with MCA portal - e
