Position: Company Secretary (Level Asst. Manager / Dy. Manager) – Male Candidate
We are looking for experienced Company Secretary who would be the manager's and company executive's right hand. As Company Secretary, you will be instrumental in helping the office run smoothly, provide support to managers, senior-level executives, and departments. You'll need to ensure that our company complies with financial and legal requirements, and maintain high standards of corporate governance. You also need to have a thorough understanding of the laws that affect your areas of work so that you are equipped to provide appropriate legal advice whenever needed.
Position: Company Secretary (Level Asst. Manager / Dy. Manager) - Male Candidate
Experience: 3 – 8 years
Qualification: C.S. (ICSI)
Preference: Real Estate industry only
Salary: CTC 40 K to 60 K PM.
Location: Connaught Place, New Delhi
Job Type: Full-Time
Duties and key responsibilities
· Maintaining and drafting Agenda, Minute of various Meeting like BM, AGM, EGM etc.
· Incorporation of LLP, Company like Private Company, Public Company, Section 8 Company, WOS Company.
· Manage all documentation for alteration of Memorandum and Article of Association of the company.
· Manage independently all affairs for capital structuring like increasing Authorized Share Capital, further issuance of share capital and Payment of Consolidated Stamp Duty online at SDM office on shares.
· Manage all documentation relating to transfer, splitting & transmission of shares.
· Preparation of form and document regarding change in Designated Partner, change in object of the LLP.
· Manage and prepare all documents related to takeover of the unlisted Private Company.
· Manage all affairs for shifting registered office of the Company, LLP within state and Outside State.
· Manage all documentation for filling of petition to NCLT for Rectification in Registered of Member.
· Preparation of form and document regarding change in Designated Partner, change in object of the LLP.
· Preparation of documents/forms for change of place of keeping of register and returns.
· Appointment of Director, Managing Director, Whole Time Director, statutory Auditor etc.
· Manage all documentation for striking of the companies and LLPs.
· Manage all documentation for conversion of Partnership firm into Company, Conversion of Company into LLP.
· Preparation of annual report, search report & Due Diligence Report of the company, scrutinizers Reports for E-Voting.
· Issuance of Sweat equity shares, buy back of shares and bonus shares.
· Maintaining the statutory registers ensuring regular updation in conforming to the compliances under the Companies Act-2013.
