Job Description:
Job Responsibility: 1. Responsible for the effective and efficient execution of all compliances with the provisions of the Companies Act and other statutes and bye-laws that are applicable to the organization. 2. Facilitate the Annual General/Extraordinary Meetings, Board meetings, Committee Meetings and to maintain a correct record of proceedings. 3. Preparation of the agenda in consultation with the CFO and other documents for all the meetings organized. 4. Preparation of Directors report and its attachments, corporate governance report, Annual Report of the organization etc. 5. Convening AGM/EOGM for the organization and filing of various forms as & when required as per provisions of Companies Act on MCA/Exchange portal. 6. Provide to the Directors of the organization required guidance in discharging duties, responsibilities and powers. 7. Assist and advise the Board in ensuring good corporate governance and in complying with the corporate governance requirements and best practices. 8. Contribute to the governance, risk and compliance training of Directors and other Directorate staff. 9. Liaise and follow up with regulatory authorities / external agencies on behalf of the organization. 10. Documenting, communicating and following up on all action items arising out of the Board and committee meetings and systematic reporting of the progress and implementation. 11. Ensure that the all policies are kept current, are approved, and that members are aware of their implications. 12. Should be willing to handle processes related to Account & Finance department viz. bills payable, bills receivable, etc. as per guidance given. 13. Any other responsibility as assigned by the competent authority from time to time, including responsibility not related to Compliance work.
