Position Overview: The Company Secretary and Legal Manager will oversee all secretarial and legal functions within the company. This role requires in-depth knowledge of corporate laws, regulatory compliance, and legal documentation. The ideal candidate will be a qualified Company Secretary and law graduate with strong interpersonal skills and the ability to work at all organizational levels.

Key Responsibilities:

Corporate Governance:

  • Ensure timely compliance under various statutes to promote good governance.
  • Manage secretarial aspects of board meetings, shareholder meetings, and documentation.
  • Maintain statutory books and registers.

Legal Compliance and Documentation:

  • Draft, review, and manage contracts, NDAs, and other agreements.
  • Monitor and report legal compliance.
  • Review forms to be filed with MCA, RBI, and other authorities.
  • Handle the compliance calendar and ensure adherence to regulatory requirements.

Stakeholder Management:

  • Liaise with external stakeholders, regulators, and advisers such as investors, lawyers, and auditors.

Due Diligence and Regulatory Adherence:

  • Manage legal due diligence processes and steps required to close funding.
  • Develop frameworks, policies, processes, and documentation for compliance across business verticals.

Team Leadership:

  • Manage a team consisting of Company Secretaries and Lawyers.
  • Provide mentorship and guidance to team members.

Additional Responsibilities:

  • Perform other duties as assigned.
  • Drive and motivate the team to solve complex problems independently.
  • Ensure strong attention to detail in all tasks.

Qualifications:

  • Qualified Company Secretary from the Institute of Company Secretaries of India (ICSI).
  • Graduate in Law.
  • Comprehensive knowledge of Insurance laws, Companies Act, 2013, Foreign Exchange Management Act, 1999, Labour laws, and other relevant regulations.
  • Excellent interpersonal skills with the ability to work effectively at all levels.
  • Strong attention to detail and exceptional organizational skills.
  • Proven ability to independently solve complex problems.
  • Good verbal and written communication skills.
  • Positive attitude, eager to learn, and a good team player.
