Job Role -


  • Holding AGM/EGM and Board Meetings as mandated by the Companies Act, which includes sending out notices, creating agendas and minutes, and creating reports and board reports.
  • Managing tasks pertaining to the Registrar of Companies, RBI, SEBI, NSDL/CDSL, Stock Exchanges, Debenture Trustees, and Share Transfer Agents, among other entities, and representing the organization before the Central Government and other authorities.
  • Contributing and striving to accomplish organizational goals; overseeing mergers, de-mergers, divestitures, and subsidiaries, if applicable.
  • Taking care of the legalities involved in financial restructuring, name changes, and the filing of applications for trade mark, copyright, and patent registration.
  • managing the dematerialization of shares, listing of shares on stock exchanges, and company incorporation.
  • Creating notices, agendas, and minutes for board, committee, and annual general meetings.
  • Holding annual general meetings, board meetings, committee meetings, and mail-in ballots.
  • The annual report, which includes the board's report, the management discussion and analysis report, the corporate governance report, the business responsibility report, and others, is prepared.
  • Upkeep of Statutory Records and Registers.
  • Submitting different forms and documents to the Central Government, Registrar of Companies (ROC), SEBI, and stock exchanges, among others.
  • knowledgeable about issues pertaining to DIN/DSC.

Statutory Compliances

  • Monitoring timely filing and evaluating necessary filing in accordance with statutory and regulatory body rules.
  • Compiling and submitting the appropriate paperwork and returns in accordance with the Companies Act and FERA
  • Working with banks and other financial organizations to create securities, create charges, and satisfy charges.
  • Dealing in Foreign Exchange and Merchant Banking


Legal

  • Drafting and vetting of agreements, power of attorney, various applications etc.
  • Interaction with internal and external stakeholders to manage legal assignments etc.
