We have been retained by a large, diversified manufacturing conglomerate, based out of Kolkata an with a pan India operations, to help them identify and onboard a Legal & Secretarial Head.

The GM Legal & Secretarial will not only manage legal & secretarial functions but also examine & evaluate the adequacy, effectiveness and efficiency of the organizations compliance & control system.

The key responsibilities are mentioned below -

A. Group legal functionLegal documentation, policy development & contract management

-

Draft, review, and manage all legal documents, contracts, agreements, and policies to protect the interests of the Group companies and also oversee the preparation, negotiation, and execution of contracts and agreements.Risk assessment & litigation management - Identify and mitigate legal risks associated with the Group Company’s operations, transactions, and strategic initiatives and also review litigation strategy and oversee and manage all legal disputes, litigations, and arbitrations including coordinating with external legal counsel.Intellectual Property- Manage the company’s intellectual property portfolio, including trademarks, patents, and copyrights, and ensure protection and enforcement of IP rights.Labour & employment law - Advise on employment law matters, including employee contracts, disputes, compliance with labour laws, and handling of disciplinary actions, including POSH Complaints

B. Secretarial functionCompliance management & regulatory filing - Ensure compliance with the Companies Act, 2013 and other relevant laws, regulations, and guidelines and also monitor and ensure filing of necessary documents, returns, and forms with the Registrar of Companies (RoC)Board & shareholders meeting - Convene, attend & record minutes of the board meetings, annual general meeting (AGM) and extraordinary general meetings (EGM).Shares & dividend management - Oversee share allotments, transfers, transmission, and other related activities and Ensure timely declaration and payment of dividends and handle related compliance

Qualification & experience

-LLB & CS qualified professionalMinimum 15 years of relevant post qualification experience ( preferably someone with 3+ years experience as Head of Legal & Secretarial Department)
