Reporting Manager: - Head Company Secretary
Key Responsibilities
To ensure timely Annual filing of Balance Sheet and Annual returns of Companies and LLPs with ROC and other event based e-filing with ROC.
Preparation of Boards' Report, Form AOC 4/ CFS/ XBRL and MGT 7, LLP Form 8, LLP Form 11 etc.
Event Based compliances of LLPs (LLP Form 3 and 4) including preparing Supplementary Agreements on account of change in Partners.
Preparation Annual and event based Disclosures of Promoters and Directors like MBP 1 and DIR 8 etc.
Preparation of documents related to event based activities like issue and redemption of debentures, preference shares on preferential allotment/right basis etc. alteration of Memorandum and Articles of Association of the Companies etc. and consequent e-filings.
Drafting of Minutes and maintenance of Minute Book as well as Supplementary documents of Board Meeting, Committee Meetings and General Meetings and updation of Statutory registers of respective companies, LLPs and Trusts.
Preparation of the documents related to Strike off/ Winding up of the Companies.
Keeping up to date with any regulatory or statutory changes under Corporate Law.
Liaising with external consultant, such as PCS, lawyers and auditors.
To prepare and ensure timely filing and dissemination of annual and event based Disclosures under SEBI (SAST) Regulations like Form 2 (Pre-clearance approval), Form C, Regulation 31 disclosure with NSE (Web based) and BSE. Preparing Form W as well as Filing of CHG 1 and CHG 4 on pledging as well as release of Shares by the promoter companies.
NBFC Compliances and DNBS XBRL Filing on RBI Portal.
FEMA Returns such as FLA Returns etc.
Demat Accounts: to execute corporate Action for credit of Shares in Demat account of allottees; Executing DIS, etc.; to ensure timely revert of demat requests received from Shareholders; to open new demat accounts, conversion of shares from physical to demat form.

Qualification: - Company Secretary (Member of the Institute of Company Secretaries of India)
Experience:- 5-6 years of Post Qualification Experience
Functional Skills
Good Communication skills, Proactive, Honest, Integrity.
Attention to details.
Willing to performance under tight deadlines.
Should have the essential pre-requisites for position.
Command on MS word, Excel and Power point.
