Duties and responsibilitiesRole Details:The role will head the Secretarial function in Magma HDI.The role holder will act as a vital link between the company and its Board of Directors, shareholders, and government/ regulatory expectations set out in the Companies Act, Registrar of Companies.Arranging and handling of Board, Committee and General Meetings.Drafting of notices, agendas, minutes of Board, Committee, General Meetings and adherence to regulatory filings.Overall responsibility of preparing and publishing the Annual Report.Coordinating the board/general meetings and follow-up actions thereof.Will handle Corporate Governance services.Filing, registering any document including forms, returns and applications by and on behalf of the company as an authorized representative.Overseeing Employee Stock Option Plan and compliance related thereto.Capital raising through Right, Preferential issue etc. and compliance related thereto.Compliances and actions as per Companies Act, 2013.Compliances as per India FEMA Act.Custodian of corporate records, statutory books and registers, issuance of shares and related documents filings.Secretarial / Compliance Audit and Signing of Annual returns.
