Role: Senior Legal CounselJob Location: Gurgaon
Role Purpose:The Senior Legal Counsel is responsible for providing the organization with support to facilitate effective legal services, advice, and representation for all legal issues either directly or with the support of external lawyers, with focus on the business vertical of Digital, which includes IT, e-commerce, marketplace, adtech, data analytics, retail media. The role holder is also responsible for supporting the Legal team in all legal matters and providing support on advice given to the business and regulatory functions on legal issues and documents in a timely manner while ensuring consistency of approach and style.Role Details – Key Responsibilities and Accountabilities:ContractsDraft contracts, agreements, letters and notifications as required in a timely manner and ensuring that they are compliant with internal standards and legal requirements, with a focus on technology, e-commerce, marketplace, digital, marketing, adtech, data analyticsLiaise with business, operational and technical stakeholders to procure relevant information to prepare tailored contracts and assess risks
Legal AdviceAdvising on various commercial, contractual and business matters, with a focus on law and regulations relating to intellectual property, e-commerce, marketplace and data including privacy
Regulatory ComplianceProactively identifying issues and risks and advising on relevant laws and regulations with a focus on the e-commerce, marketplace, data and digital business
Legal Due Diligence and ClaimsProvide support when advising concerning business transactions, claim liability, advisability of prosecuting or defending lawsuits, or legal rights and obligationsSupport the development of strategies and arguments in preparation for presentation of cases

Research and EvaluationSupport research on laws, rulings and regulations to safeguard and legally protect business operationsGather evidence to formulate defence or to initiate legal actions, by such means as interviewing clients and witnesses to ascertain the facts of a caseSupport the development of strategies and arguments in preparation for presentation of casesResearch the probable outcomes of cases, using knowledge of legal precedents and researchKeep abreast of the changes to laws and regulations of the region, monitor legal publications and study the new trends related to legal practices and their impact on the current scenario
Legal Policies and Procedures
Research policies for legal correctness with a view to provide legal advice in relation to the drafting of contracts/policiesEnsure necessary law applications to protect the organization in conjunction with allowing for commercial advantagesDevelop reports on internal legal process is followed and tasks are completed within the deadlinesReport any actions or omissions that might interfere with the operations or policies of the company
Human Capital ResponsibilitiesAssist with the implementation of the performance management process by setting objectives, monitoring performance, and provide constructive feedback and provide inputs to senior managementProvide mentorship for the purpose of developing a continuous talent pipeline for key rolesProvide inputs on training needs and coordinate with the HC department to ensure facilitation of training requirementsDevelop and implement on the job-training for the team and various stakeholdersProvide inputs for the development of annual manpower planEnsure the implementation of company’s corporate policies and relevant procedures
Definition of SuccessAbility to prepare customized and bespoke contractsQuality of legal reviewsTimely and effective settlement of legal issuesCompliance with procedural and legislative requirementsEffective communication of policies and procedures and updated laws and regulations
Minimum Qualifications/educationBachelor’s Degree in Law
Minimum experience12+ years' legal experience including in-house roles, with exposure to the retail industryExperience of technology, e-commerce, marketplace, requiredExperience of last mile and logistics, and retail media preferredExposure to the Middle East and GCC markets desirable
