Key Responsibilities
- Ensure compliance with all applicable corporate laws and regulatory requirements.
- Independently manage the Legal & Secretarial functions of the Company and its group entities in India.
- Oversee all secretarial functions, including:
- Convening and managing Board and General Meetings.
- Drafting and circulation of notices, agendas, minutes, and statutory reports.
- Administration of ESOPs, private equity transactions, corporate restructuring, audits, and CSR initiatives.
- Maintenance and timely updating of statutory books, registers, and records.
- Filing of necessary forms, returns, and documents with the Registrar of Companies and other statutory bodies.
- Ensure compliance with RBI and FEMA regulations.
- Promote and uphold best practices in corporate governance, ethics, and integrity.
- Contract Management: Draft, review, vet, and negotiate legal documents including agreements, MOUs, leave & license agreements, lease deeds, legal notices/replies, indemnity
bonds, NDAs, service agreements, and related documents.
- Maintain a centralized repository of contracts.
- Litigation Management: Oversee end-to-end litigation processes, including:
- Coordination with external counsels.
- Drafting, reviewing, and vetting pleadings and submissions.
- Managing litigation budgets and negotiating fee structures with law firms.
- Conducting regular reviews of ongoing cases with senior management for risk assessment and resolution strategy.
- Provide counsel on Intellectual Property matters including registration, enforcement,
prosecution, and protection of trademarks, copyrights, and designs.
- Offer legal advisory support on business, commercial, governance, and compliance matters.
- Keep internal stakeholders informed of key regulatory developments, statutory changes, and their implications.
Desired Skills & Company Secretary (CS) with a Law degree.
