Position: Senior Executive - Legal & Secretarial. 

Reporting to: Finance Manager


Responsibilities:

  • Ensure adherence to all relevant legal and regulatory requirements under the Companies Act and other applicable laws.
  • Oversee the maintenance of statutory registers and records of the company.
  • Manage board and committee meetings, including drafting agendas, preparing minutes, and ensuring proper approvals.
  • Advise on corporate governance best practices and ensure  maintenance  of  a high standard of corporate governance.
  • Provide legal advice and guidance on various matters impacting the business, including contracts, employment law, intellectual property, and data privacy.
  • Draft, review, and negotiate legal agreements and contracts.
  • Manage external legal relationships and work with external counsel as needed.
  • Represent the company in legal matters before regulatory authorities if required.
  • Liaise with the Registrar of Companies (ROC) and other regulatory bodies.
  • Oversee the filing of statutory returns and other documents with the ROC.
  • Manage the issuance, transfer, and allotment of shares.
  • Advise on board and shareholder meetings, including shareholder rights and proxy voting.
  • Handling NSDL matters of investors & the Company.
  • Ensuring board resolutions are taken for all the matters concerned.
  • Due diligence compliance during the fundraising process.


Qualifications:

Must hold a Company Secretary (CS) degree and a Bachelor of Laws (LLB) degree from a recognized university.


Experience:

  • Minimum 3-5 years of experience in a similar role.
  • Proven track record of providing sound legal advice and ensuring corporate governance compliance.
  • Strong understanding of the Companies Act and other relevant laws.


Skills & Abilities:

  • Excellent analytical and problem-solving skills.
  • Strong written and verbal communication skills with the ability to explain complex legal concepts in a clear and concise manner.
  • Ability to manage multiple tasks effectively and prioritise workload.
  • Strong attention to detail and accuracy.
  • Ability to work independently and as part of a team.
  • Proficient in MS Office Suite and legal research tools.
