Job Description :
Key Responsibilities:-
Corporate Governance
- Ensure timely compliance with corporate governance codes, SEBI laws, Companies Act, and all other regulations applicable to a listed company.
- Develop and implement internal policies/process to meet corporate governance standards, as per regulatory requirements.
- Coordinate with external legal advisors and auditors including secretarial auditors on governance matters and bankers
Board and Shareholder Meetings - Co-ordinate for board meetings, annual general meetings (AGMs), and extraordinary general meetings (EGMs) and its pre and post work
- Prepare agendas, notices, minutes, and resolutions of meetings.
- Ensure that all board decisions are accurately documented
- Maintain a proper record of all company meetings and resolutions.
Compliance and Regulatory Affairs - Monitor and ensure compliance with regulatory requirements, including the stock exchanges, ROC, RBI and other relevant authorities.
- Submit regulatory filings such as annual reports, financial statements, and shareholder communications as required.
- Timely completion of the Compliances as may be required under Companies Act, SEBI laws, RBI etc.
- Stay updated on changes in laws and regulations affecting the company, particularly those related to SEBI, Companies Act, RBI etc.
- To keep up to date all records of the Company as may be required under the Companies Act, Listing Regulations
Shareholder Relations and Communication - Ensure effective communication and timely dissemination of information to shareholders.
- Oversee the handling of shareholder queries and concerns/grievances.
- Coordinate the issuance of share certificates, dividend payments, and other shareholder-related matters.
Statutory Records and Filings - Maintain all statutory records and registers of the Company
- Ensure that statutory filings are made accurately and on time
- Coordinate the preparation of annual financial reports, ensuring compliance with the relevant accounting and regulatory standards.
Legal and Corporate Compliance - Assist in managing the legal affairs of the company, including reviewing contracts, agreements, and other legal documents including loan documents.
- Liaise with legal counsel to manage disputes, contracts, and any legal matters.
- Ensure that the company adheres to all legal and regulatory requirements for its operations, particularly in a manufacturing and listed company context.
Corporate Social Responsibility (CSR) - Support the companys CSR initiatives by ensuring compliance with regulations relating to CSR reporting and activities.
- Ensure that CSR activities align with the company's values and regulatory requirements.
