We are seeking a highly skilled and experienced Company Secretary & Compliance Officer to join ourdynamic team. The ideal candidate will be responsible for ensuring the company's compliance with allstatutory and regulatory requirements and maintaining effective corporate governance practices. • Stay abreast of all relevant laws, regulations, and guidelines affecting the company's operations.
• Develop, implement, and monitor compliance frameworks and procedures.
• Conduct regular compliance audits and assessments to identify and address potential issues.Corporate Governance:
• Provide guidance to the board of directors on corporate governance best practices.
• Organize and prepare materials for board and committee meetings.
• Assist in the development and implementation of corporate policies and procedures.Company Secretarial Functions:
• Ensure all statutory and regulatory filings are completed accurately and on time.
• Maintain and update corporate records, including board minutes, resolutions, and other legaldocuments.
• Facilitate communication between the board, management, and shareholders.Risk Management:
• Identify and assess potential legal and compliance risks.
• Develop and implement risk mitigation strategies.
• Collaborate with other departments to ensure a comprehensive understanding of potential risks.Training and Awareness:
• Conduct training sessions for employees on compliance-related matters.
• Keep the team informed about changes in laws and regulations that may impact the business.Qualifications and Skills:
• Certified Company Secretary
• Minimum 7+ years of post-qualification business partnering experience.
• Strong understanding of regulatory compliance, corporate actions for M& A, investor servicing, ARand GM /Postal Ballots handling, policy reviews and Insider Trading Regulation Compliance &Material Event Awareness
• Strong influencing skills & ability to work with Senior Leaders across functions.Industry
