JOB PURPOSE
Responsible for effective and efficient management of legal department, provision of legal advisory services and ensuring effective management of legal and contractual risks.
PRINCIPAL ACCOUNTABILITIES
Provide legal protection and risk management advice to management especially on contract management.
Drafting, vetting & negotiation of agreements relating to NDAs, MOUs, Technology transfer agreements, IPR related contracts, Alliances & partnership, EPC Contracts, sub-contracting arrangements, M&A, Business Purchase agreements, Share Purchase agreements, corporates documentations, joint ventures arrangements, investors related documentation, banking documentation.
Should take care of all Legal Due Diligence of the tender documents, Project Organization.
Negotiation of all legal aspects of Contracts/Agreements.
Review all contracts or any other documentation where the company has committed itself & assess legal implication that need to be brought to the management attention.
Review bid documentation and flag the risks, handling all legal issues related with Land – Private, Forest or Revenue and other corporate legal issues.
Litigation Management
Supporting and implementing the company intellectual property strategy.
Prepare up documents & provided legal back up for setting up technology transfer related with wind power.
Educational Qualifications
Bachelor / Masters in Law/ LLB / LLM.
Experience
15-20 years of legal experience in a large organization with exposure to contract negotiation and drafting.
Have exposure of providing accurate and effective legal counsel.
Have sound knowledge of land, laws & regulations of different states primarily of Maharashtra Rajasthan, Gujarat, Madhya Pradesh, Andhra Pradesh, Tamil Nadu and Kerala.
Should have Knowledge on IPR, trade mark, patent laws, Data Protection Act etc.
Should have sound knowledge in handling legal regulations in respect chemical industries, with Power / Energy sector particular to renewable energy.
Exposure to Court would be preferred.
