Legal Advisory & Corporate Governance
- Advise management and business units on corporate law, company structuring, and contract law matters.
- Draft, review, and negotiate a wide range of commercial agreements including shareholder agreements, vendor and customer contracts, JV agreements, and NDAs.
- Assist in legal due diligence for mergers, acquisitions, and new investments.
- Manage board meetings, resolutions, minutes, and statutory registers with Company Secretarial team.
Taxation & Structuring
- Advise on direct and indirect taxation, capital gains planning, transfer pricing, and group tax strategy.
- Assist in structuring investments, business reorganizations, and family wealth planning from a legal and tax perspective.
- Work with external advisors for advance rulings, tax assessments, and litigation strategy when required.
- Stay updated with tax law changes (e.g., GST, Income Tax Act, International Taxation, DTAA, GAAR).
Compliance & Regulatory
- Ensure compliance with Companies Act, FEMA, SEBI, RBI, and other applicable regulations.
- Handle FDI/FPI/ODI-related documentation and RBI filings.
- Coordinate filings with ROC, income tax authorities, and other statutory bodies.
- Support statutory audits and liaise with tax and legal authorities as necessary.
Risk Management & Dispute Resolution
- Identify and mitigate legal and regulatory risks across operations and transactions.
- Oversee or coordinate ongoing litigation, arbitration, and notices with external counsel.
- Implement internal policies and controls to prevent non-compliance or legal disputes.
