Legal Advisory & Corporate Governance

  • Advise management and business units on corporate law, company structuring, and contract law matters.
  • Draft, review, and negotiate a wide range of commercial agreements including shareholder agreements, vendor and customer contracts, JV agreements, and NDAs.
  • Assist in legal due diligence for mergers, acquisitions, and new investments.
  • Manage board meetings, resolutions, minutes, and statutory registers with Company Secretarial team.

Taxation & Structuring

  • Advise on direct and indirect taxation, capital gains planning, transfer pricing, and group tax strategy.
  • Assist in structuring investments, business reorganizations, and family wealth planning from a legal and tax perspective.
  • Work with external advisors for advance rulings, tax assessments, and litigation strategy when required.
  • Stay updated with tax law changes (e.g., GST, Income Tax Act, International Taxation, DTAA, GAAR).

Compliance & Regulatory

  • Ensure compliance with Companies Act, FEMA, SEBI, RBI, and other applicable regulations.
  • Handle FDI/FPI/ODI-related documentation and RBI filings.
  • Coordinate filings with ROC, income tax authorities, and other statutory bodies.
  • Support statutory audits and liaise with tax and legal authorities as necessary.

Risk Management & Dispute Resolution

  • Identify and mitigate legal and regulatory risks across operations and transactions.
  • Oversee or coordinate ongoing litigation, arbitration, and notices with external counsel.
  • Implement internal policies and controls to prevent non-compliance or legal disputes.
