Job Title: Company Secretary (CS). Location: Gurugram. Experience: 2+ Years. Qualification: Qualified Company Secretary (CS) - Mandatory. Job Summary: We are seeking a detail-oriented and experienced Company Secretary (CS) to handle all corporate compliance and governance matter sat a global level. The ideal candidate will ensure that the company adheres to statutory and regulatory requirements across different geographies and maintains high standards of corporate governance. Key Responsibilities:- Ensure full compliance with statutory and regulatory requirements across various countries where the company operates.- Manage and maintain corporate records, board meeting minutes, and resolutions.- Provide guidance on corporate governance best practices and ensure their implementation.- Coordinate and manage Board of Directors' meetings, Annual General Meetings, and related documentation.- Support global compliance audits and follow up on action items.- Keep track of changes in laws, regulations, and industry practices related to company secretarial functions.- Work closely with legal, finance, and other departments to ensure corporate compliance.- Maintain statutory registers and ensure all corporate filings are done accurately and on time.- Advise management on corporate legal matters and implications of new regulations.- Coordinate with consultants in each country to ensure compliance with local laws and regulations.- Create and maintain a comprehensive compliance checklist covering all countries of operation.- Build and regularly update a centralized compliance database.- Maintain country-wise and compliance-wise data for easy reference, reporting, and tracking. Key Skills & Attributes:- In-depth knowledge of company law and compliance practices in India and globally.- Strong understanding of corporate governance principles.- Excellent communication and interpersonal skills.- High attention to detail and strong organizational abilities.- Proficient in MS Office and compliance management tools.- Ability to handle multiple tasks and meet deadlines in a fast-paced environment. Qualification: Qualified Company Secretary (CS) - Mandatory. 2+ Years of relevant experience in a similar role, preferably in a global organization. (ref:iimjobs.com)
