The Company Secretary will be responsible for ensuring the company's compliance with legal and regulatory requirements, maintaining statutory records, managing corporate governance policies, and acting as a key point of communication between the company, its shareholders, and regulatory authorities. Day-to-day tasks include preparing board meeting agendas, organizing board resolutions, filing company returns, and providing expert advice on legal and corporate matters. Collaboration with various departments to ensure legal and procedural conformity is also an integral aspect of this role.Ensure compliance with the Companies Act, SEBI (LODR) Regulations, Securities Laws, Stock Exchange requirements, and other applicable laws.Coordinate with PCS team and File timely returns, forms, and reports with MCA, SEBI, stock exchanges, and other authorities.Monitor changes in legislation and advise the Board on necessary actions.Organize and coordinate Board, Audit Committee, Nomination & Remuneration Committee, CSR Committee, and other mandatory committee meetings.Manage Draft and circulate notices, agendas, notes, and minutes in compliance with Secretarial Standards (SS-1, SS-2).Coordinate with PCS Team and Ensure proper recording of minutes and resolutions and maintain related records.Coordinate Annual General Meetings (AGMs) and Extraordinary General Meetings (EGMs).Coordinate with IR-PR Agency and manage Investor Meets, Investor Earning Concall Etc.Coordinate with PCS Team and Timely Update Announcement on Exchange.Manage investor grievances through SEBI SCORES portal.Oversee compliance related to insider trading, including maintenance of structured digital database, training, and monitoring trading windows.Coordinate with PCS Team and Prepare Timely Half yearly & annual compliance reports and shareholding patterns.Work with internal/external auditors to ensure strong compliance processes.Handle queries from investors, analysts, and regulators.Manage processes for dividend distribution, e-voting, and share transfers/dematerialization with RTA.Check the NSDL, CSDL, NSE and RTA any payment dues or any requirement of pending compliances.Establish internal controls for compliance, reporting, and risk management.Prepare, Draft and review legal documents, agreements, and policies.Support the Board in strategic decision-making from a compliance and governance perspective.Draft, update, and implement corporate policies such as:Code of ConductInsider Trading PolicyRelated Party Transactions PolicyESG/CSR policiesRisk Management FrameworkEnsure regular training for employees and directors on compliance and governance policies.Coordinate with PCS Team if any Query, Notice received for Compliances related. Location: Gandhinagar (Local Candidates preferable)Salary : 40k to 1Lac (Compensation will be as per work experience)
