We are seeking a highly skilled and experienced Commercial Counsel to join our dynamic team at a pre-IPO HealthTech company based in the US, with the role located in India. We’re open to candidates working in our Gurgaon office or remotely. This position will report directly to the US team. It will play a crucial role in overseeing legal operations, drafting and managing contracts, and supporting project implementation and other departmental initiatives.


Responsibilities

  • Legal Operations Management: Oversee and streamline legal operations to ensure efficiency and compliance with jurisdictional legal standards.
  • Contract Drafting and Management: Draft, review, and manage contracts and agreements, ensuring they meet all legal, regulatory, and company standards. Focus on various types of contracts including but not limited to NDAs, MSAs, SOWs, partnerships, and service agreements.
  • Project Implementation Support: Provide legal support for project implementation, ensuring legal and regulatory compliance in all aspects of project execution.
  • Compliance and Risk Management: Monitor compliance with applicable laws and regulations. Proactively identify and advise on legal risks and business terms. Implement risk management strategies to minimise potential legal risks.
  • Legal Advisory: Provide strategic legal advice on business transactions and vendor negotiations.
  • Policy Development: Develop and enforce internal governance policies and manage the impact of external factors on the organization.


Requirements

  • Educational Qualification: Bachelor’s degree in Law (LLB) required.
  • Experience: At least 3 - 5 years of private practice experience at a top-tier Indian law firm.
  • Legal Skills: Strong drafting skills and ability to learn and lean into new areas of law
  • Communication Skills: Excellent communication, negotiation, and interpersonal skills, capable of maintaining strong relationships.
  • Analytical Skills: Strong ability to analyze legal documents and strategies, attention to detail, and the ability to handle complex matters.
  • Problem-solving Skills: Strong problem-solving skills with a proactive approach to identifying and resolving issues.
  • Candidate would ideally be a mid-level corporate or commercial law associate at a top Indian law firm. If they have current in-house experience, great but not needed. Someone with strong analytical skills willing to learn.
  • Preferably has top Indian law firm experience - Trilegal, CAM, SAM, Luthra & Luthra, AZB, J Sagar, Kaithan & Co, TTA etc.
