We are looking for a highly qualified and experienced Company Secretary to join our team and lead us through the listing process and beyond.


Job Summary: The Company Secretary will be responsible for ensuring that the company complies with statutory and regulatory requirements and for implementing decisions made by the Board of Directors. This role is critical for overseeing all aspects of the company’s listing on SEBI, NSE, and BSE, including compliance with all listing formalities.


Key Responsibilities:

• Listing Compliance: Manage and oversee the entire process of listing the company in Main Board/ SME Exchange ensuring all the secretarial requirements are met and routine liaising for all kind of compliances and reporting from time to time.

• Board Meetings: Organize and prepare agendas and papers for board meetings, committees and AGMs, take minutes and follow up on action points.

• Corporate Governance: Ensure the company complies with standard financial and legal practices and maintains high standards of corporate governance.

• Statutory Records: Maintain statutory books, including registers of members, directors and secretaries and monitor changes in relevant legislation and regulatory environment.

• Compliance Filings: Prepare and file necessary documents and returns with regulatory authorities, including ROC and stock exchanges.

• Policy Development: Develop and implement corporate policies and procedures to ensure ongoing compliance and effective governance.

• Advisory Role: Routine advisory to the board on corporate governance issues, listing requirements, and other compliance matters.

• Risk Management: Identify and mitigate risks associated with corporate governance and compliance.


Qualifications:

• Qualified Company Secretary with membership in the Institute of Company Secretaries of India (ICSI).

• Extensive knowledge of SEBI, NSE, and BSE listing requirements and procedures.

• Minimum 4 years of experience in a similar role, preferably in a listed company or one preparing for listing.

• Strong understanding of corporate law, securities law, and regulatory compliance.

• Excellent organizational, communication, and interpersonal skills.

• Ability to work independently and as part of a team, with a proactive and problem-solving approach.

• High level of integrity, professionalism, and attention to detail.


Preferred Qualifications:

• Additional qualifications in law, finance, or business administration.

• Experience in handling investor relations and public communications.

• Familiarity with electronic filing systems and compliance software.
