**Job Summary**:
As a Company Secretary at Bankify, you will be responsible for ensuring the company's compliance with statutory and regulatory requirements. You will play a crucial role in maintaining corporate governance standards and facilitating effective communication between the board of directors, shareholders, and regulatory authorities. Your expertise will contribute to the smooth functioning of the company's operations and strategic decision-making processes.

**Responsibilities**:

- Ensure compliance with applicable laws, regulations, and guidelines, including Companies Act, SEBI regulations, and other relevant statutes.
- Prepare, review, and file necessary documentation with regulatory authorities, such as annual returns, board resolutions, and other legal forms.
- Coordinate and assist in organizing board meetings, general meetings, and committee meetings, including preparing agendas, taking minutes, and maintaining relevant records.
- Advise the board of directors on matters related to corporate governance, legal compliance, and company law.
- Manage the company's share capital, including maintaining the register of shareholders and facilitating share transfers and allotments.
- Draft and review legal documents, contracts, and agreements to ensure compliance and mitigate legal risks.
- Stay updated with changes in relevant laws, regulations, and best practices and provide guidance to management and stakeholders accordingly.
- Assist in the preparation of annual reports, financial statements, and other statutory reports.
- Coordinate with external auditors, legal advisors, and regulatory bodies as required.
- Provide support in corporate restructuring, mergers, acquisitions, and other corporate transactions.

**Requirements**:

- Minimum 2 years of experience as a Company Secretary in a corporate environment.
- Membership of the Institute of Company Secretaries of India (ICSI).
- Strong knowledge of company law, corporate governance, and regulatory requirements.
- Familiarity with financial services, banking regulations, and compliance frameworks will be an added advantage.
- Excellent communication and interpersonal skills to effectively liaise with internal and external stakeholders.
- Attention to detail and a high level of accuracy in documentation and record-keeping.
- Ability to work independently, prioritize tasks, and meet deadlines.

**Salary**: Up to ₹500,000.00 per year
