Company Secretary

We are seeking a qualified and experienced Company Secretary to ensure compliance with legal, regulatory, and governance requirements. The role involves managing company filings, regulatory compliance, board meetings, and shareholder relations while maintaining statutory records.
Roles and Responsibilities:
- Ensure compliance with the Companies Act, including filing and registering documents with the Registrar of Companies (ROC) within prescribed timelines.
- Manage event-based compliance as required.
- Adhere to SEBI and BSE regulations, including compliance with Listing Agreements, SEBI (SAST) Regulations, and SEBI (PIT) Regulations.
- File relevant certificates, forms, and documents with SEBI and BSE.
- Maintain statutory books and registers as per the Companies Act, including Directors, Members, Loans, Charges, Contracts, Buy-back, Dividend, and Investor Complaints.
- Arrange board and general meetings, prepare minutes, and ensure documentation is in order.
- Handle shareholder relations, including share transfers, transmissions, grievance redressal, and liaison with the RTA (Registrar and Transfer Agent).
- Develop an understanding of the company's accounting and internal audit systems within the initial six months.
Skills and Qualifications Required:
- Qualified Company Secretary (CS) with relevant industry experience.
- In-depth knowledge of the Companies Act, SEBI regulations, and corporate governance principles.
- Strong understanding of regulatory filings, compliance processes, and board meeting procedures.
- Excellent organizational and communication skills.
- Ability to liaise with regulatory authorities, auditors, and shareholders.
- Familiarity with accounting and audit processes is an added advantage.
