Key Responsibilities:

1. Secretarial Compliance:

- Ensure adherence to the Companies Act, 2013, and SEBI LODR Regulations (if listed).

- Convene and manage Board Meetings, AGMs, and EGMs including drafting agendas, notices, and minutes.

- Maintain statutory registers and records; file necessary forms with RoC, RBI, and Credit Bureau.

- Draft and vet board resolutions, shareholder agreements, and legal documents.

2. Regulatory Compliance:

- Monitor and implement compliance with RBI Master Directions for NBFCs (e.g., capital adequacy, fair practices).

- File periodic returns and disclosures with RBI, Credit Bureau, and RoC.

- Liaise with regulators and ensure timely submissions and responses to inspections or audits.

3. Corporate Governance:

- Advise the Board on governance best practices and statutory obligations.

- Ensure proper constitution and functioning of Board Committees (Audit, Nomination & Remuneration, etc.).

- Draft and implement governance policies like Code of Conduct, Whistleblower Policy, and Insider Trading Policy.

4. Risk & Compliance Monitoring:

- Develop systems for tracking legal and regulatory risks.

- Conduct internal audits and compliance training across departments.

- Ensure compliance with KYC, AML, and FEMA regulations where applicable.

5. Disclosures & Reporting:

- Oversee timely and accurate disclosures of financial and operational data.

- Prepare and file Annual Reports, Quarterly Results, and Secretarial Audit Reports (MR-3).
