1. Compliance with the Companies Act:*
- Managing event-based compliance as and when required.
2. *Compliance with SEBI and BSE Regulations:*
- Adhering to the Listing Agreement, SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011, and SEBI (Prohibition of Insider Trading) Regulations, 1992.
- Filing related certificates, forms, and documents in a timely manner.
3. *Secretarial Records Management:*
- Maintenance of statutory books and registers as required by the Companies Act.
- Registers include (but are not limited to): Directors, Members, Loans, Charges, Contracts, Buy-back, Dividend, Investor Complaints, etc.
4. *Board and General Meetings:*
- Arranging meetings and preparing minutes.
5. *Shareholder Relations:*
- Managing share transfer and transmission, handling grievances, and liaising with the RTA.
6. *Understanding Accounting and Audit Systems:*
- Studying the company’s accounting and internal audit systems during the initial period of six months.
