Key Responsibility:

The Head of Legal and Compliance is entrusted with upholding the highest standards of integrity and transparency in all professional conduct, serving as a brand ambassador and exemplar in fostering a culture of compliance and openness within the organization. Their core duties encompass:

Legal Compliance: Develop, implement, and oversee compliance programs ensuring alignment with applicable laws, regulations, and industry standards. Remain vigilant regarding legislative changes, promptly updating internal policies and procedures. Proficiently manage risks and compliance associated with substantial manufacturing operations in India.

Risk Management: Identify and mitigate legal and regulatory risks inherent in business operations. Conduct thorough risk assessments and provide strategic guidance to management on risk avoidance and mitigation strategies.

Contract Management: Review, draft, and negotiate various contracts, encompassing commercial agreements, vendor contracts, and employment agreements. Ensure contractual arrangements adhere to legal requirements and align with organizational objectives.

Corporate Governance: Offer counsel to the executive team and board of directors on corporate governance matters, including board governance, Foreign Direct Investments, and regulatory filings. Ensure adherence to corporate governance principles and best practices.

Dispute Resolution: Manage legal disputes and litigation matters, liaising with external counsel and representing the company in negotiations, mediations, and courtroom proceedings. Pursue timely and cost-effective resolutions to legal disputes.

Ethics and Compliance Training: Develop and deliver comprehensive training programs on legal and compliance subjects to employees across all organizational levels, fostering a culture of ethics and compliance.

Government Relations: Cultivate and sustain productive relationships with government authorities, industry associations, and regulatory bodies. Advocate for the company's interests in engagements with government stakeholders and participation in relevant industry forums.

Data Privacy and Security: Ensure compliance with data privacy laws and regulations, including GDPR and local data protection laws. Develop and implement robust data privacy policies and procedures to safeguard sensitive information.

Stakeholder Management: Coordinate with diverse stakeholders and collaborate cross-functionally with clarity and purpose. Provide strategic leadership for companywide initiatives aimed at risk mitigation and enhancing compliance, in alignment with global teams.

The incumbent performs duties in accordance with established company principles and guidelines.

Qualifications:

- Accredited Degree in Indian Law from a recognized institution; master's degree preferred.

- Minimum of 10 years of experience in legal and compliance roles, ideally within a multinational corporation or law firm.

- Thorough understanding of Indian laws and regulations, particularly in corporate law, labor law, commercial contracts, intellectual property, and regulatory compliance.

- Strong leadership abilities, capable of influencing and collaborating effectively across organizational functions and levels.

- Exceptional communication and interpersonal skills, with the ability to articulate complex legal concepts clearly and concisely.

- Demonstrated track record of handling legal matters with integrity, professionalism, and sound judgment.

- Relevant certifications or memberships in professional legal associations would be advantageous.
