The Company Secretary and Compliance Officer Lead is responsible for ensuring the company's compliance with statutory and regulatory requirements, as well as managing corporate governance and shareholder relations.

This role involves overseeing the organization's compliance program, advising the management on governance matters, and ensuring effective communication with shareholders.


Key Responsibilities:


Ensure compliance with all statutory and regulatory requirements, including filings, reporting, and maintaining statutory books and records for the Company and it's subsidiaries in India and abroad.

Advise the board of directors on corporate governance principles, company policies, and compliance issues.

Organize and prepare agendas and papers for board meetings, committees, and annual general meetings (AGMs).Ensure effective communication and liaison with shareholders, regulatory authorities, and other stakeholders.

Develop and oversee the company's compliance program, including training and awareness initiatives.
Monitor changes in relevant legislation and the regulatory environment and take appropriate action.

Play a pivotal role in IPO preparedness by ensuring corporate governance and compliance frameworks meet the standards required for public listing, particularly focusing on requirements in IndiaOversee regulatory compliance and reporting related to primary and secondary capital infusions, ensuring adherence to local laws and international best practices in both India and the UAE.Engage with regulatory authorities, external auditors, and legal advisors to facilitate the capital infusion process and IPO preparation, ensuring transparent and efficient communication.


Qualifications:
Qualified Company Secretary with a relevant degree in Law, Finance, or Business Administration.
Significant experience in corporate governance, compliance, and company secretarial work.
In-depth knowledge of corporate law, securities regulations, and corporate governance best practices.
Excellent communication, interpersonal, and organizational skills.
Strong analytical and problem-solving abilities, with attention to detail.
