The Company Secretary is a critical role in ensuring legal compliance, maintaining documentation, and supporting various secretarial functions within the organization.
The Company Secretary plays a pivotal role in ensuring the organization's adherence to legal and regulatory requirements while also managing secretarial and compliance-related documentation.
Here's a detailed job description for a Company Secretary:Education Qualifications:
Completed Company Secretary (CS) qualification from the Institute of Company Secretaries of India (ICSI).
Experience:
0.6-5 years of relevant experience in corporate secretarial and legal compliance activities.
Key Responsibilities:
Secretarial and Legal Documents:
Maintain all secretarial and legal documents systematically.
Establish a centralized folder for team access and navigation.
Compliance:
Update and manage the compliance calendar for all entities.
Monitor regulatory updates and notifications from regulators to keep the calendar current.
Send monthly reminders and notifications to stakeholders to ensure compliance.
Documenting and Managing SOP (Standard Operating Procedures):
Create and maintain a repository of SOPs for secretarial and compliance activities.
Ensure real-time updates to SOPs as needed.
Coordinating with Finance Team:
Collaborate with the finance team and relevant stakeholders to prepare compliance documents and forms.
Record video demonstrations of form filings for reference and necessary action.
Execution:
Proactively manage compliance activities without excuses or delays.
Ensure that all assigned tasks are completed efficiently and on time.
Registration of New Companies:
Handle the registration of new companies in the legal portal.
Ensure accurate compliance with the Companies Act.
Assist in coordinating statutory accounts for trading companies.
File confirmation statements online.
Drafting Documents:
Draft resolutions, minutes of board meetings, general meetings, notices, and other company secretarial documents.
Prepare agreements for takeovers, franchise arrangements, and business restructuring.
Draft NCLT petitions for dispute matters under the Companies Act.
Annual Filing and
Compliance:
Prepare and file annual filing documents and forms as required by law.
Have basic knowledge of working with listed and public limited companies.
Handle filing related to ECB (External Commercial Borrowings), FC-GPR (Foreign Currency-Gross Provisional Return), and other FEMA (Foreign Exchange Management Act) compliances.
Other Secretarial and Legal Works:
Handle various secretarial functions such as issuing shares, increasing authorized capital, transferring shares, managing charges (satisfaction, creation, modification), and other basic works in DGFT (Directorate General of Foreign Trade), taxation, and GST (Goods and Services Tax).
Assist in obtaining various business licenses and registrations.
Skills and Qualities:
Strong knowledge of company law and corporate governance.
Excellent communication skills, especially within the accounting industry.
Proficiency in drafting various legal and secretarial documents.
Familiarity with filing requirements for listed and public limited companies.
Understanding of FEMA compliances, secretarial functions, taxation, and GST.
Knowledge of labor laws, PF, and ESIC.
Detail-oriented and proactive in managing compliance activities.
