dSPACE India Solutions Pvt Ltd is looking for a Company Secretary, a professional resource having experience and expertise in corporate laws, various regulatory functions, sufficing preparation and audit of business reports, filing annual returns etc. The Company Secretary also plays a definite role as a Business Advisory to the board of directors of the company guiding them incorporate laws, corporate governance and strategic management.
Roles and responsibilities of the Company Secretary:
Handling of all, "Registrar of Companies" compliance under the Companies Act 2013.
Maintenance of statutory registers, records, register of members, directors and secretaries.
Preparing annual reports and returns of the organization.
Vetting of legal documents, agreements, and contracts of the organization.
Prepare agendas and papers for board meetings, committees, and annual general meetings (AGMs) and follow up on action points.
Convene and service AGMs, take minutes, draft resolutions, and lodge required forms and annual returns with appropriate departments.
Provide legal, financial, and/or strategic advice during and outside of meetings.
Ensure policies, regulatory, or statutory changes that might affect the organization are up to date and approved by the committee.
Handle correspondence, collate information, write reports and communicate decisions to relevant company stakeholders.
Liaise with external regulators and advisers such as lawyers and auditors.
Develop and oversee the systems that ensure the company complies with all applicable codes, in addition to its legal and statutory requirements.
Manage contractual agreements with suppliers and customers.
Qualification & Skills
Graduate degree in Commerce granted by any recognized and reputed University.
Membership with the Institute of Company Secretaries of India (ICSI)
Strong knowledge of corporate laws, governance, and compliance
Experience: 2-3 years working as a Company Secretary or similar positions
Professional Written and Verbal communication skills
Should possess good judgmental skills to make good decisions during a crisis or situation of conflict.
Legal knowledge – that is understanding the basic legal responsibilities to ensure the company is in compliance with all legal obligations.
