Description of the role:

The role as a whole time Company Secretary of the company shall include the following:

  • Ensure compliance with Companies Act (including applicable secretarial standards) and applicable laws, and report to the Board;
  • Provide necessary secretarial and company law guidance to the directors of the Company, including in respect of the individual and collective, duties, responsibilities and powers;
  • Assist the Board/committees of the Board in the conduct of the affairs of the company (including adoption of necessary policies and practices);
  • Ensure adoption of good corporate governance practices and implement / comply with the adopted corporate governance practices and requirements;
  • Ensure compliance with corporate social responsibility (“CSR”) obligations, if any, of the company and implement any such CSR activities
  • Facilitate the convening of meetings and attend Board, committee and general meetings and maintain the minutes of these meetings;
  • Maintain updated statutory records of the company;
  • Represent the company before various regulators, and other authorities under the Companies Act or other laws, in relation to discharge of various duties under the Companies Act and other laws;
  • Effectively liaise and strategize (as applicable) with the company’s advisers such as lawyers, consultants and auditors;
  • Effectively coordinate and interface with inter-company departments/teams, including, legal, finance, regulatory, business and other teams of the company and the BMS group entities (in implementing the decisions of the company, including but not limited to governance structures, financial controls and other decisions of the company across the organisation);
  • Communicate the decisions of the company to the various stakeholders;
  • Assist with statutory filings under the corporate, foreign exchange, tax and other laws, among others;
  • Risk and cost mitigation in respect of compliances under applicable laws;
  • Accounting / invoicing experience; and
  • Discharge such other duties as may be assigned by the Board and applicable laws.

The role as a Manager - financial planning & analysis shall include the following:

  • Work closely with the Hyderabad senior management and Board to develop and implement financial planning and strategies for the company;
  • Prepare and review annual budgets / budgetary allocations, cash flows, and actual and market trends;
  • Long term forecasting and cash flow planning;
  • Create reports as requested by the senior management;
  • Monthly preparation and review of finance deck and providing relevant analysis - work with local and global teams in relation to the same;
  • Implement, utilize, evaluate and improve the financial processes and management systems;
  • Analyze complex financial information and reports to provide accurate and timely financial recommendations to senior management / Board for decision-making purposes;
  • Accounting, invoicing and audit;
  • Effective use of analytical and financial tools

Requirements:

  • Self-motivated, effective team player and strong leadership skills.
  • Strong inter-personal skills & cultural skills. Effectively leverage these skills to obtain results.
  • Flawless drafting, communication, and language skills.
  • Indepth knowledge of the Companies Act, corporate and other laws.
  • Indepth knowledge of accounting standards, financial planning and strategy.
  • Provide strategic solutions to the Board and management including in respect of corporate regulation, financial planning and efficient governance.
  • Ability to work independently and supervise /lead team(s), under the overall supervision of the senior management and the Board.
  • Ability to multi-task, effectively manage and complete work assignments independently, handle stress and time constraints, and provide effective and workable solutions/results in a timely manner.
  • The role entails timely and effective coordination with global teams.

Educational experience:

  • Qualified Company Secretary (CS) who is a member of the Institute of Company Secretaries of India (ICSI);
  • Qualified Chartered Accountant who is a member of the Institute of Chartered Accountants of India;
  • Qualified undergraduate/post graduate in any of the commerce/finance fields.
