Role Overview:

The Manager Legal at Equitane plays a pivotal role in ensuring legal compliance and facilitating smooth operations within the organization. They are primarily responsible for overseeing legal matters related to corporate activities, mergers and acquisitions, and private equity transactions. The incumbent will be instrumental in drafting, reviewing, and negotiating various legal documents and contracts, conducting due diligence, and providing legal guidance to support the company's strategic objectives.


Key Responsibilities:

  • Drafting, reviewing, and negotiating legal documents, including shareholder agreements, share purchase agreements, share subscription agreements, and other commercial contracts such as loan/financing agreements, supply agreements, MOUs, and JVAs.
  • Conducting comprehensive due diligence on target companies involved in mergers, acquisitions, or other business transactions.
  • Providing legal advice and support on a wide range of corporate and commercial matters, ensuring compliance with applicable laws and regulations.
  • Collaborating with internal stakeholders, external legal counsels, and relevant parties to facilitate legal transactions and resolve legal issues effectively.
  • Managing legal risks and implementing strategies to mitigate potential liabilities.
  • Keeping abreast of relevant legal developments, regulations, and industry trends to proactively identify potential legal issues and opportunities.


Job Requirements & Qualifications:

  • Bachelor’s degree in law from a reputable institution; additional certifications or advanced degrees are a plus.
  • 8+ years of post-qualification experience in the legal field.
  • A minimum of 4-5 years of experience in the corporate/M&A department of a reputable law firm is essential.
  • Exceptional proficiency in the English language, both written and verbal, with the ability to draft legal documents and communicate complex legal concepts effectively.
  • Extensive exposure to private equity and acquisition-related matters, demonstrating a strong understanding of transactional dynamics and legal requirements.
  • Proven experience in drafting, reviewing, and negotiating various legal documents and contracts, particularly those related to corporate transactions.
  • Strong analytical skills and attention to detail, with the ability to conduct thorough due diligence and assess legal risks.
  • Experience in handling cross-border transactions is preferred, with a comprehensive understanding of international legal frameworks and practices.
  • Excellent interpersonal and communication skills, with the ability to collaborate effectively with internal and external stakeholders.
  • Adaptable and proactive approach to problem-solving, with the ability to work efficiently in a dynamic and fast-paced environment.
