Role Requirement:
- Handles all issues related to Secretarial matters of the Company.
- Handles ROC and filling annual returns with ROC
- Prepares documents for submission to banks and ensuring timely submission of the same.
- Ensure signatories to bank
- Takes care of all legal formalities for various financial tasks
- Appointment of Directors for various companies (completing all formalities with (ROC)
- Matters related to Banks related to KYC, Opening Accounts & other documentation with banks i.e. term loans, rating of loan by rating agency
- Liaison with custom authorities regards steamers agency, renewal of registration coordination for filling IGM/EGM through ICEGATE
- Monitor Company Law changes and provide suggestions
- Regular review of ownership structure of various companies of various companies in accordance with prevailing laws, taxes etc. Ensure that company structure ensures minimum liability and best risk management for the directors
- Ensure statutory compliances as per Company Law
- Attending to all company law matters of all registered companies relating to board resolutions, AGMs, maintenance of minutes,
- Periodic returns, incorporation of new companies, maintaining statutory records, MOA, advising on corporate law, CSR & periodic KYC with Director of Companies, as required.

- Liaisoning with authorities,
- Knowledge of Legalities.
- Must possess a very good knowledge and understanding of corporate laws like Companies Act and its rules.
- Should be conversant with various SEBI regulations, FEMA regulations etc
- Must be capable of keeping track of changing laws.
- Excellent Communication skills - verbal & written.
- Process Driven- Systemic approach to all the departmental processes.
- Initiative & Drive - Proactive
- Vision & Foresight - Ability to foresee problems & incorporate checks & balances in operations.
- Good Infotech skills & sound knowledge of automation of departmental processes.
