Position: Investment Banker Fundraising & Advisory
Role Overview
An Investment Banker specializing in fundraising is responsible for structuring, managing, and executing capital-raising transactions for startups, SMEs, or large corporations. The role involves financial advisory, investor engagement, and deal execution, ensuring smooth coordination between clients seeking capital and investors providing it.
Key Roles and Responsibilities
1. Fundraising Strategy and Structuring
- Develop fundraising strategies aligned with the clients business model, stage, and valuation goals.
- Determine the optimal capital structure (equity, debt, convertible instruments, etc.).
- Prepare and review term sheets, shareholding structures, and cap tables.
2. Financial Analysis and Valuation
- Perform financial modeling, DCF, comparable company, and precedent transaction analysis.
- Evaluate the companys financial performance and project future cash flows.
- Assess investor return potential and prepare investment memorandums (IMs).
3. Investor Outreach and Relationship Management
- Identify and approach relevant venture capital, private equity, family offices, and institutional investors.
- Conduct investor roadshows, virtual pitch sessions, and one-on-one meetings.
- Maintain long-term relationships with investors, funds, and financial institutions.
4. Deal Execution and Coordination
- Lead the end-to-end fundraising process from mandate signing to deal closure.
- Coordinate between legal, financial, and technical teams for due diligence.
- Negotiate deal terms, valuations, and investor rights on behalf of the client.
- Support in documentation and regulatory compliance (SEBI, FEMA, Companies Act, etc.).
5. Advisory and Market Intelligence
- Advise startups and companies on market trends, valuation benchmarks, and deal structures.
- Provide strategic insights to help clients position their business effectively for investors.
- Prepare industry research reports and investment opportunity notes.
Experience and Background
- Typically 28 years of experience in Investment Banking, Corporate Finance, or Fundraising Advisory.
- Proven track record of successfully closing capital raise deals (Seed to Series C / PE rounds).
- Exposure to financial modeling, valuation, and deal negotiations.
- Experience working with startups, venture capital firms, and private equity funds adds strong value.
