We are Hiring for General Council & Legal Compliance or Company Secretary Executive for our Reputed Manufacturing Industry in Chennai Oragadam.
Job Overview
To provide in-house legal and compliance support for TDCCs India operations, including contract review/drafting, statutory company secretarial compliance, and adherence to applicable laws and regulations. The role will work closely with plant and corporate functions to ensure the companys operations are legally sound, compliant, and aligned with governance best practices.
Key Responsibilities
Contract Review & Drafting
- Vet,draft, and negotiate contracts with vendors, suppliers, customers, contractors, and government authorities.
- Ensure agreements are commercially viable, legally sound, and consistent with company policies.
Departmental Legal Support
- Partner with Finance, Procurement, Sales, HR, and Management to ensure contracts and decisions comply with legal and business requirements.
- Provide timely legal guidance to the GM and functional heads.
Company Secretarial & Corporate Compliance
- Ensure compliance with the Companies Act and other relevant corporate law requirements.
- Maintain statutory registers, corporate records, and timely filings with the Registrar of Companies.
- Support Board and shareholder meeting processes, including agendas, minutes, and resolutions.
- Monitor and ensure adherence to manufacturing, labour, environmental, and other statutory regulations applicable to plant operations.
Employment & HR Documentation
- Review and ensure compliance of employment contracts, HR policies, and contractor agreements with applicable labour laws.
Regulatory & Statutory Compliance
- Monitor and ensure compliance with Indian manufacturing, labour, environmental, and other statutory regulations applicable to plant operations.
Risk Management
- Identify potential legal or compliance risks, recommend mitigation measures, and support dispute resolution or litigation processes in coordination with external counsel.
Liaison & Coordination
- Act as the primary liaison with external legal counsel, statutory authorities, and relevant government departments.
Cross-Border Support (Limited Scope)
- Provide India-related legal and compliance support to Singapore headquarters and other group entities as required.
- Coordinate with local counsel for non-Indian legal issues where applicable.
Other Duties
- Perform additional legal or compliance tasks as assigned by management.
Required Qualifications
Education
- Bachelors degree in Law (LL.B.) from a recognised university.
- Company Secretary qualification or progress towards it preferred.
Experience
- Minimum 23 years of relevant experience in legal and compliance roles, preferably in manufacturing or industrial sectors.
- Demonstrated experience in contract drafting, review, and negotiation.
- Practical exposure to company secretarial compliance under the Companies Act is preferred.
Skills
- Strong knowledge of Indian corporate, contract, and labour laws.
- Proficient in drafting and negotiating contracts.
- Familiarity with company secretarial processes and statutory filings.
- Good verbal and written communication skills.
- Competence in MS Office and document management systems.
