Job Title: Company Secretary (With IPO Experience)
Location: Noida, UP
Employment Type: Consultant / Independent Practice
Experience Required: Minimum 5–8 years of post-qualification experience
Qualification: Member of the Institute of Company Secretaries of India (ICSI)
About the Role:
We are seeking a qualified and experienced Company Secretary (CS) with proven expertise in IPO-related compliance and regulatory filings. The ideal candidate should be an independent practitioner holding a valid Membership Number and Certificate of Practice (COP), and should be actively engaged in their own CS practice.
The candidate will work closely with senior management, auditors, and regulatory bodies to ensure all corporate, legal, and secretarial compliances are managed efficiently—particularly those relating to Initial Public Offerings (IPO) and SEBI regulations.
Key Responsibilities:
- Manage and oversee the entire IPO process, including pre-IPO due diligence, documentation, and coordination with SEBI, stock exchanges, and other authorities.
- Ensure compliance with the Companies Act, 2013, SEBI (LODR) Regulations, and other applicable laws.
- Prepare and file all statutory forms, returns, and reports with ROC, SEBI, and Stock Exchanges.
- Draft and review offer documents, prospectuses, and other regulatory submissions.
- Conduct Board Meetings and General Meetings, draft minutes, notices, and resolutions.
- Advise the Board on corporate governance, statutory compliance, and best practices.
- Liaise with Merchant Bankers, Legal Advisors, Auditors, and Regulatory Authorities during IPO execution.
- Maintain up-to-date knowledge of regulatory changes and advise management accordingly.
- Handle post-listing compliance and continuous disclosure requirements.
Key Requirements:
- Qualified Company Secretary with active Membership Number and Certificate of Practice (COP).
- Must have own independent practice.
- Proven experience of managing or assisting in IPOs (Mainboard or SME).
- Strong knowledge of SEBI, ROC, and Stock Exchange procedures.
- Excellent drafting, communication, and coordination skills.
- Ability to manage multiple stakeholders and deadlines effectively.
Preferred Qualifications:
- Additional exposure to M&A, corporate restructuring, or fundraising will be an advantage.
- Experience with listed companies or merchant bankers preferred.
Remuneration:
- Commensurate with experience and scope of engagement.
- Open for retainer or project-based arrangement.
