  1. PRINCIPAL ACCOUNTABILITIES

  1. Legal Documentation & Contract Management:

  2. Investment Management Agreements

  3. NDAs, Term Sheets, Service Agreements
  4. Lease agreement, Leave and License Agreement
  5. Service-level Agreement
  6. Shareholder / engagement agreement
  7. Recruitment consultant and training partners agreement
  8. Such other agreement as is necessary for the business

  9. Investment Management Agreements

  10. Provide legal support on SEBI (AIF) Regulations, Companies Act, FEMA, and other applicable laws.

  11. Assist in fund registration, scheme filings, and investor onboarding documentation.
  12. Monitor regulatory changes and assess their impact on fund operations.

  13. Fund Structuring & Governance

  14. Advise on fund structuring, especially for Category II & III AIFs and GIFT City-based entities 3.

  15. Ensure legal compliance in fund formation, tenure extensions, and investor rights

  16. Risk Management & Litigation

  17. Identify legal risks and propose mitigation strategies.

  18. Manage litigation, arbitration, and regulatory disputes.
  19. Liaise with external counsel and represent the company in legal proceedings.

  20. Stakeholder Management

  21. Work closely with Compliance, Investment, Operations, and Sales teams.

  22. Liaise with trustees, custodians, and regulatory bodies

  23. Contract / Agreement Management (proper documentation and upkeep of all agreements, contracts and their renewals on timely basis)

  24. Vetting and drafting of various Terms & Conditions related to various processes and advise business from time to time.
  25. Review and participate in the negotiation and approval of material contracts / agreements.
  26. Drafting of various process notes on legal agreements, keeping their repository and tracking timely actionables on the same.

10. Dispute / Litigation Management:

  • Drafting and responding to various kinds of notices, business letters and communications.
  • Co ordinating with external lawyers and counsels for litigation management and seeking legal opinion as may be necessary for the business or pursuant to a response to any regulatory notice.
  • Drafting and responding to investor / lawyers on various legal notice / complaints.

11. Ancillary:

  • Maintaining records and MIS of Agreements, Notices and Licenses.
  • Franking / stamping of Agreement.
  • Conducting research on new legal developments and case laws, preparing summary for the management.

12. Compliance Support:

  • To provide support to the team on various compliance or secretarial actionable as may be necessary including working on any routine compliance reporting or regulatory actionable.

  1. Qualifications

LL.B.

  1. Work Experience

  2. 5-7 years legal experience, (2-3 years in AIFs)

  3. Working knowledge of securities market.
  4. Strong understanding of SEBI regulations and fund documentation.

  5. Personal Attributes/ Behavioral skills

  6. Outstanding communication / drafting /interpretation skills.

  7. Excellent knowledge and understanding of corporate law and procedures, general law and securities market law.
