TEAM OVERVIEW
KKR's Legal team plays a pivotal role in protecting the firm's interests and reputation by drafting, reviewing, and negotiating contracts with clients, counterparties, and investors. The team provides legal guidance on a wide range of matters including fund-related documentation, regulatory compliance, legal entity management, litigation support, and oversight of legal spend. It also partners closely with business and compliance teams to streamline legal operations, enhance contract lifecycle management, and implement best practices across jurisdictions to ensure efficiency, consistency, and risk mitigation in legal processes.
POSITION SUMMARY
The current role in the Gurugram office is for a Senior Manager – Transaction Counsel with 10+ years of post-qualification experience. This role will support legal aspects of transactions across various asset classes, including private equity, healthcare growth, tech growth, impact, infrastructure, climate, private credit, strategic holdings and other asset classes primarily in the APAC region. The candidate will work closely with internal stakeholders, external counsel and counterparties to manage legal risks and support value creation initiatives throughout the deal life cycle.
ROLES & RESPONSIBILITIES
- Assist with drafting, reviewing and negotiating deal documentation such as term sheets, share purchase or share investment agreements, shareholders agreements, and other ancillary documents.
- Coordinate due diligence processes, identify critical issues and risks, and advise on mitigation strategies.
- Assist investment teams to provide legal input on structuring, risk allocation, and negotiation strategy.
- Interface with and manage external counsel to ensure high-quality advice.
- Provide legal support for KKR's investment advisory, including review of commercial contracts, and ensure compliance with applicable laws.
- Liaise with business, compliance, tax, and finance teams to gather information and ensure timely legal input on firm initiatives.
- Maintain, monitor and update transaction checklists and project trackers across deal lifecycles.
- Collaborate with attorneys, other paralegals, and business clients to perform assignments and projects, as directed
- Oversee deal execution from inception to closing, including legal research using existing databases, regulatory analysis, and coordination across internal and external stakeholders.
- Manage transaction workstreams and timelines, maintaining oversight of closing checklists and legal deliverables throughout the deal lifecycle.
- Support special projects, including internal process improvements, audit and regulatory responses.
- Contribute to the creation and improvement of internal templates, playbooks, and policies to streamline deal execution processes.
- Monitor and interpret relevant regulatory developments across key APAC jurisdictions, advising on potential impact on transactions.
QUALIFICATIONS
- B. or equivalent from a reputed institution.
- Minimum of 10 years of relevant experience in private equity, M&A, or transactional advisory at a recognized law firm.
- Practical understanding of private equity fund structures and governance issues in the APAC region.
- Strong attention to detail and strong drafting, negotiation, and risk assessment skills.
- Proficiency in Microsoft Office, Adobe Acrobat Pro, DocuSign, SharePoint, Litera, etc.
