Role Overview
This is a dual-function role combining Paralegal responsibilities with Company Secretarial
support. The ideal candidate will assist in managing legal documentation, corporate
compliance, secretarial practices under the Companies Act, 2013, and coordinate with
multiple internal and external stakeholders for legal and statutory matters across jurisdictions.
Key Responsibilities
Paralegal Functions:
• Draft, review, and maintain legal contracts, service agreements, NDAs,
distribution/agency agreements, MOUs, etc.
• Conduct legal research, audit and prepare summaries on various matters including
commercial laws, FEMA, labor laws, and international trade regulations.
• Maintain legal documentation and trackers for ongoing matters including litigation,
contract renewals, notices, and compliance deadlines.
• Liaise with external legal advisors for dispute resolution, contract vetting, and
regulatory matters.
• Assist in documentation and compliance for cross-border transactions and foreign
subsidiaries.
• Support notarization, attestation, embassy/legalization-related documentation for
international operations.
Company Secretarial Functions:
• Assist in compliance under the Companies Act, 2013, FEMA and RBI guidelines.
• Prepare and maintain statutory registers, records, and minutes of Board Meetings,
General Meetings, and Committee Meetings.
• Assist in filing e-forms with the Registrar of Companies (ROC) and tracking due
dates for annual and event-based compliances.
• Support in drafting Board Resolutions, Notices, Director Disclosures, and maintaining
related statutory documents.
• Coordinate with Company Secretaries/consultants in other jurisdictions for
compliance of overseas entities.
• Maintain documentation related to incorporation, change in directors/shareholding,
and annual filings of global group companies.
Key Requirements
• Educational Qualification:
- Graduate in Law (LLB) or Diploma in Paralegal Studies
- Company Secretary (CS Executive/Professional level); candidates who have
completed CS Executive are encouraged to apply
• Experience: 0-1 years of experience in a legal or corporate secretarial role, preferably
in a multinational or service-oriented organization
• Knowledge of:
- Companies Act, 2013 and FEMA
- Drafting and reviewing commercial agreements
- ROC and MCA portal functioning
• Skills:
- Strong legal drafting and analytical skills
- Excellent communication and coordination abilities
- High attention to detail and confidentiality
- Proficient in MS Office, legal databases, and compliance tools
