We are looking for an Intermediate Software Developer to join our dynamic team and contribute to the development of high-performance applications.

Job Summary:

We are looking for a detail-oriented Legal Associate to assist in corporate governance, statutory compliance and legal advisory. The candidate will support the Company Secretary & Legal Counsel in ensuring adherence to Indian laws, corporate governance standards, and regulatory requirements.

Location: Bengaluru, India

Experience: 3-5 years

Key Responsibilities:

A. Corporate Governance & Regulatory Compliance:

• Support corporate governance initiatives and ensure adherence to ethical business conduct.
• Monitor compliance with global governance standards and assist in training programs.
• Assist in regulatory reporting and liaise with government authorities when required.

B. Legal & Compliance Functions:

• Assist in contract management, including drafting, reviewing, and negotiating:
• Service agreements, Vendor contracts, and NDAs.
• Support compliance with Indian laws and data protection regulations, including:
• Information Technology Act, 2000
• Digital Personal Data Protection Act, 2023.

C. Labour & Employment Law Compliance:

• Support compliance with labour laws.
• Assist in employment agreements, workplace policies, and grievance handling.
• Help with POSH Act compliance, policy drafting, training, and committee management.

D. Regulatory Liaison & Legal Advisory:

• Support in due diligence, fundraising, and compliance matters.
• Assist in resolving legal disputes and responding to government inquiries.
• Support in drafting and implementing corporate policies and governance frameworks.
• Assist in responding to regulatory or compliance audits.
• Manage legal aspects of corporate secretarial work, including director liabilities and inter-company agreements.

E. Company Secretarial Functions:

• Assist in compliance with the Companies Act, 2013, including drafting and filing statutory returns with the Registrar of Companies (RoC).
• Maintain and update statutory registers, including:
• Register of Members, Directors, and Key Managerial Personnel (KMPs).
• Minutes of Board Meetings, General Meetings, and Committee Meetings.
• Assist in drafting notices, agendas, resolutions, and meeting minutes.
• Support coordination across functions and assist in audits.
• Ensure compliance with applicable rules for a Foreign Direct Investment (FDI) entity, including FEMA regulations.

Qualifications & Experience:

• Educational Background: LLB graduate
• Experience: At least 3 years of experience in a corporate secretarial, compliance, or legal role.
• Experience working with FDI, FEMA regulations, and corporate governance frameworks is an advantage.

Skills Required:

• Strong understanding of Indian corporate laws and regulatory frameworks.
• Excellent drafting and legal research skills.
• Strong interpersonal and communication skills.
