We are seeking a qualified and experienced Company Secretary to manage and oversee all secretarial, legal, and compliance functions related to societies, trusts, and companies. The ideal candidate will be responsible for preparing and maintaining accurate minutes of meetings, ensuring timely filings, and adhering to statutory requirements under applicable laws (Companies Act, Societies Registration Act, Trusts Act, etc.).

Key Responsibilities:

  • Draft, prepare, and maintain minutes of meetings for the Board, Committees, Annual General Meetings (AGMs), and other governance meetings of the company, society, and/or trust.
  • Ensure timely compliance filings with ROC, MCA, and other statutory bodies as required.
  • Maintain and update statutory registers and records as per applicable laws.
  • Assist in the drafting and vetting of resolutions, agreements, trust deeds, bylaws, and other legal documents.
  • Monitor compliance with applicable laws, regulations, and internal policies.
  • Liaise with regulatory authorities, auditors, and legal advisors.
  • Manage the preparation and filing of annual returns, board reports, and other regulatory disclosures.
  • Support the management and trustees/board members in corporate governance matters.
  • Keep abreast of changes in legislation relevant to trusts, societies, and corporate entities.
  • Assist in the formation or restructuring of trusts, societies, and companies where required.

Required Qualifications & Skills:

  • Educational Qualification:

  • Member of Institute of Company Secretaries of India (ICSI) Mandatory

  • Bachelor's degree in Law or Commerce is an advantage.

  • Experience:

  • 2 to 5 years of relevant experience in secretarial and compliance functions.

  • Prior experience with societies and trusts is preferred.

  • Skills:

  • Strong understanding of Companies Act, 2013, Societies Registration Act, and Indian Trusts Act.

  • Excellent drafting and communication skills.
  • Attention to detail and good organizational abilities.
  • Proficiency in MS Office and filing systems like MCA portal.
