Company Secretary
who can take ownership of end-to-end corporate compliances and support leadership in maintaining robust governance standards.
Position Overview
The Company Secretary will be responsible for handling statutory compliances, maintaining corporate records, managing ROC filings, and ensuring adherence to the Companies Act, FEMA regulations, and other applicable laws. This role requires someone who can work independently, manage deadlines, and support strategic decision-making with clear documentation and governance insights.

Key Responsibilities
1. Companies Act, 2013 Compliance
- Manage end-to-end
ROC compliances
, including filing of AOC-4, MGT-7/7A, PAS forms, SH forms, DIR forms, etc. - Prepare and maintain
statutory registers, minutes, resolutions
, and all statutory documentation. - Draft notices, agendas, and minutes for
Board Meetings, Committee Meetings, and General Meetings
. - Support compliance audits and ensure accuracy in all statutory submissions.
2. Due Diligence & Transaction Support
- Conduct
Due Diligence (DD)
for investments, internal audits, or corporate restructuring. - Prepare data rooms, verify company records, and coordinate with legal advisors.
- Manage processes related to
Private Placement
, including filing PAS-4, PAS-5, PAS-3, drafting offers, and coordinating with investors.
3. FEMA Compliances
- Ensure accurate and timely reporting for:
- FDI
transactions - FC-GPR, FC-TRS, FLA
filings - ODI
transactions and related compliances - Coordinate with Authorised Dealer (AD) Banks for FEMA submissions and clarifications.
4. Corporate Governance & Documentation
- Maintain up-to-date
secretarial records
and ensure corporate governance is aligned with regulatory requirements. - Draft and review various agreements, NDAs, compliance notes, and internal policies.
- Support annual returns filing, share transfers, share allotments, and capital structure changes.
5. Stakeholder Coordination
- Work closely with:
- Auditors (statutory, internal, secretarial)
- Legal advisors
- Banks
- Senior management and cross-functional teams
- Communicate compliance findings and recommendations clearly and professionally.
Required Skills & Experience
Education & Qualification
- CS Qualified or Semi-Qualified (Executive/Professional level).
- Additional background in Law, Accounting, or Finance is a plus.
Experience
- 1–4 years of experience in secretarial or compliance roles.
- Hands-on experience with ROC filings, FEMA compliances, and drafting governance documents.
Technical Skills
- Strong knowledge of:
- Companies Act, 2013
- FEMA regulations
- SEBI rules
(preferable, not mandatory) - Proficiency in MCA portal, RBI FIRMS portal, and documentation tools.
Soft Skills
- High attention to detail and accuracy.
- Strong drafting and communication skills.
- Ability to work independently with strict deadlines.
- Analytical thinking and problem-solving mindset.
