**Job description**
**Roles and Responsibilities**
- Handling/Assisting in various Secretarial Compliances
- Company Registrations & post registration Compliances.
- Drafting of Minutes & other meeting records.
- Preparation of Statutory Registers under the law.
- Appointment, Cessation & change in the Board Composition.
- Shifting of the Registered Office of the Companies.
- Share Transfer and Share allotment under various modes.
- Convening of AGM & Filing of Annual Account & Annual Return.
- Event-based filings like DPT-3, MSME, DIR-3 KYC.
- LLP Incorporation & Post-registration filings.
- Annual filing w.r.t LLP(s) in Form 8 & Form 11
- Other event-based changes in the working of the Companies & the LLP(s) from time to time.
- Handling/Assisting in Compliances under FEMA, RBI:
- Reporting of FDI from time to time at FIRMS portal in form FC-GPR.
- Reporting of Share Transfer including Foreign Nationals/NRI in form FC-TRS.
- Yearly reporting of foreign assets & liabilities (FLA) at FLAIR portal.
- R&D on various funding arrangements including Foreign National/NRI.
- Other query solving with respect to any arrangement under FEMA.
- Handling/Assisting in various Legal Agreements like:
- Shareholders Agreement.
- Service Agreement.
- Employment Contract.
- Founders Agreement.
- Partnership Deed
- LLP Agreement
- Non-Disclosure Agreement (NDA)
- Sale-Purchase Agreement
- Other legal Agreements.
- Liaison with the government offices & applicable authorities as and when may be required.
- Good verbal and written communication skills
- Interpersonal skills and the ability to work well with people at all levels
- Attention to detail and a well-organised approach to work
- The ability to prioritise work and to work well under pressure
- The capability to work with numerical information, plus analytical and problem-solving skills
- A diplomatic approach and the confidence to provide support to high-profile company staff and board members
