What You Will Be Doing Contracting
- Drafting, reviewing, negotiating, and finalizing contracts for both sell and buy-side agreements, including non-disclosure agreements (NDA), master service agreements (MSA), software license agreements, professional services agreements, escrow agreements, memorandum of understanding (MOU), letters of intent (LOI), etc.
- Reviewing requests for proposals (RFPs), requests for quotation (RFQ), expressions of interest (EOI), and preparing pre-bid queries and risk matrices by identifying any non-standard terms and conditions.
- Providing general corporate and commercial legal services to various in-house clients.
- Offering opinions and advice on contract interpretation and other business law matters.
- Managing assigned legal projects related to mergers and acquisitions, divestitures, and corporate restructuring.

Litigation
- Drafting and reviewing legal opinions, letters, responses, legal notices, and other relevant documents.
- Conducting legal research and analysis to prepare for litigation or other legal actions.
- Examining relevant information, such as interview notes and historical precedent, to determine the advisability of prosecuting or defending litigation.

Essential Duties
- Deliver high-quality work within specified deadlines.
- Ensure compliance of business operations with applicable laws and regulations.
- Anticipate and mitigate legal risks associated with business strategies and operations.
- Collaborate with colleagues within the legal department, as well as other departments and functions.
- Represent the department as needed with sales, operations, and delivery teams when interacting with clients.
- Provide advice on general business law matters and manage legal issues as they arise.

What You Bring
- Bachelor's degree in law with strong academic credentials.
- At least 7-8 years of experience as an in-house counsel, preferably in a large multinational corporation.
- Demonstrated expertise in managing litigation, handling general corporate and commercial matters, and drafting contracts related to software licensing and services.
- Strong litigation skills and knowledge to handle arbitration and court litigations.
- Excellent verbal and written communication skills, with the ability to communicate effectively to diverse audiences without using technical jargon.
- Experience in compliance monitoring is an added advantage.
