**Job description**
**Responsibilities**
- Due Diligence for Financial Assistance with National and International Companies.
- Assisted in Mergers, Amalgamations, Demerger Dealing with Stock Exchanges for filing returns and other regular correspondences for Debt Listed Companies.
- Creation of ISIN, filing of Corporate Action Information forms & Demat, Transfer and Transmission of Securities.
- Operating MCA 21 Portal, uploading and filling various forms through e-filling process.
- Incorporation of Private/ Public Company. Conversion of Partnership Firm into a Private, Public Company.
- Preparation of Compliance Certificates, Reconciliation Statement of Share Capital, Share Transfer Audit report of BSE Listed Companies
- Assistance in Convening Board/ Shareholders Meetings Annual Filings Appointment the Directors, Managing Director, KMPs, Auditors Inspection of documents in ROC and obtaining Certified True Copies of various documents Creation,
- Modification and Satisfaction of charge Changing the Default Companies Status to Active i.e. from Dormant to Active. Sub-Division, Consolidation of Share Capital Preparation of Share Certificates Statutory Register as per Companies Act, 2013 Allotment of Equity/ Preference Shares Bonus Issue Alteration in Name/ Object/ Situation/ Capital clause of the Company Alteration in Memorandum of Association & Articles of Association of the Company Drafting of Board/ AGM/ EGM Minutes.
- Drafting and vetting of Notices, Ordinary, Special Resolutions etc.
